South Africa – Terms and Conditions of Use of the Marketplace
  1. General
    1. These Terms of Service (“Terms“) are a binding legal agreement between you and RedCloud (the “Contract”) that governs your use of the websites, applications for mobile devices, and other present of future offerings from RedCloud (collectively, the “Platform“). These Terms may be updated from time to time at the sole discretion of RedCloud. When used in these Terms, “RedCloud,” “we,” “us,” or “our” refers to the RedCloud entity with whom you are contracting and includes their successors and any person to whom rights have been assigned under this Contract.
    2. By accessing to the Platform, the User automatically adheres to the Terms which shall be strictly observed by the Users. These terms, including the subtitles below (which are deemed an integral part of this Terms), constitute a contract between any person (hereinafter, “User” or, in plural, “Users“) who wishes to access the Platform and/or use the Services described herein and enters into this Contract.
    3. Please read the Terms carefully before using the Marketplace. By creating an Account and accessing and using the Platform, the User accepts and acknowledges that the Terms are mandatory and binding. In case the User does not agree with the Terms, the User must refrain from using the Platform.
    4. The User agrees to use the Platform for lawful purposes, respecting the applicable laws and regulations and in no way shall use the Platform or its content for purposes contrary to the applicable law and regulations or morality or the policies of the Platform which may be issued or amended by RedCloud from time to time at its sole discretion, or in any other way that may affect its operation, security and/or information contained therein.
    5. Please print and keep a copy of this Contract for your records. RedCloud reserves the right to accept your adherence to these Terms and reserves the right to use its discretion in the exercise of its prerogatives in accordance with the law.
  2. About us
    1. RedCloud Technologies (Pty) Ltd, trading as RedCloud, operates the Platform and provides the Services. RedCloud is registered in South Africa under the number 2021/158791/07 and its registered office is located at the following address: 2nd Floor Block 2 Northgate Park, CNR Section Street and Koeberg Road, Paarden Eiland, Cape Town, Western Cape 7405.

  3. Legal Capacity
    1. The Services offered by the Platform are available to those Users, whether human persons or representatives of legal entities, who have legal capacity to contract, that is, to acquire rights and incur in obligations. Services of the Platform may not be used by persons who do not have that capacity, minors or Users who have been suspended and / or disqualified by the Platform. By registering as a User, you declare under oath that you are a human person of legal age, with legal capacity to contract.
  4. Territory
    1. This Platform is available in the territory of South Africa (when referring to Sellers) and/or where the store is located (when referring to Buyers) and is not intended to be accessed from any jurisdiction of any state, country, or territory other than the aforementioned. Neither us nor the Sellers make any representation or warranty that the Platform or any of the products are suitable or available for use, purchase, delivery, or sale in other locations.
  5. The Marketplace
    1. RedCloud provides a marketplace on its Platform (“the Marketplace”). The Marketplace is a B2B online intermediary services shopping platform that allows for: (i) purchase transactions between Users for ordering and paying for products online, including digital products (“Marketplace Services”), (ii) payment transactions between the Users, including the ability to send credits backed by funds held by Users on their Account as means of payment (“Payment Services”), (iii) accessibility and digitalisation of data of Users and their transactions using the Marketplace (“Data Services”), (iv) strategic marketing campaigns (“Marketing Services” and altogether, the “Services”). Transactions to be performed within the Marketplace are B2B and therefore are not aimed to connect Sellers with final consumers.
    2. RedCloud acts as a data controller regarding the processing of data of Users. RedCloud processes personal data in connection with sales and purchases made by Users (“Collected Data”) to provide Data Services and collect other data, figures and relevant information for the provision of Marketing Services (and other relevant Services). Users hereby consent to such collection and usage of data in accordance with these Terms and the Privacy Policy of the Platform. Please also refer to the Privacy Policy.
    3. Collected data may include, but is not limited to transactional data, behavioural data and payment data of Users.
    4. Collected Data may be used and enhanced for the purposes of internal reporting within RedCloud. Users hereby consent to such collection and usage of data in accordance with these Terms and the Privacy Policy of the Platform.
  6. Registration
    1. To use the Services of the Platform, Users must register by creating an access account and providing login name and password details, and by providing necessary information which may include name, email address, postal address, information related to the payment of the Services and any other information that may be reasonably required by us (“the Account“) and agreeing to these Terms. As part of the registration process, you will receive a PIN code or one time passcode (“OTP”) used for the verification of the User’s details, that will allow you to access the Services. All information provided by the Users shall be accurate and valid at all times and any change shall be immediately notified to us. The Account will allow the User to use the Platform and access the Services. Users will access their Account through a username, phone number or email address and a personal password to be chosen by the User. The Account is unique non-transferable. In the event that we detect different Accounts containing the same or related data, we may cancel, suspend or disable them. Additionally, any User who is verified to operate with more than one Account will be blocked and will no longer be able to use the Platform.
    2. In order to make payments for transactions on the Platform, Users must charge credit to their Account (as detailed below).
    3. The Account will allow the User to use the Services in conjunction with any other functionality that may be offered to the User in the future, subject to the terms and conditions set forth for each functionality.
    4. RedCloud may use reasonable efforts to verify the identity of the User and the data entered at the time of the registration. This may include the use of an OTP provided through the use of a mobile number (where the use of OTP is in place, the provision of a mobile number is mandatory). The mobile number is treated as personal data in line with these full terms and conditions. RedCloud is not responsible for the veracity or accuracy of the data provided by the Users. RedCloud reserves the right to request additional proof and/or data for the purpose of corroborating the data reported by the User, as well as suspend and/or temporarily or permanently disable those Users whose data could not be verified. Additionally, RedCloud reserves the right to suspend Users temporarily or permanently in case of breach of the Terms, as well as to reject requests for Transactions placed.
    5. When the User has provided the information detailed in 6.1 above, RedCloud may, in using reasonable efforts as described in 6.4 above, undertake a “KYC” (Know Your Company) process for which third-party services may be utilised to ensure the veracity of the information provided by the User. By agreeing to these Terms and Conditions, the Users agrees to RedCloud’s use of such third-party services for the KYC process.
    6. The Platform shall maintain the confidentiality of the data provided by Users for registration and Users agree to maintain the confidentiality of their name and password and any other Account’s settings. The User agrees to immediately notify us of any unauthorized use of their Account, and to hold the Platform harmless in the event that this causes any damage to us or to third parties.
  7. Marketplace Services
    1. The Seller must offer for sale products and promote the Services in the appropriate categories and subcategories and Buyers may purchase through the Marketplace products marketed directly by the Sellers (“the Products”). Descriptions of the Products may include descriptive texts, graphics, photographs and other contents and conditions relevant to the sale of the Products, provided that they do not violate any third-party rights, applicable law, provision of this Contract or RedCloud policies.
    2. The Seller must comply with all relevant regulatory obligations such as registrations, authorizations, permits and/or authorizations required by the applicable regulations for the Products and Services offered, as well as with any mandatory product information to be included in the relevant offers pursuant to applicable regulations. RedCloud shall be entitled to delete any offer that does not comply with legal requirements but has no obligation to check offers for admissibility.
    3. Sellers are responsible for adherence to local regulations when selling Products and must comply, as applicable, in not selling Products or imported Products that are restricted or prohibited under local laws and regulations. In agreeing to these Terms and Conditions, Sellers warrant that they shall so comply.
    4. Sellers are responsible for obtaining and maintaining the requisite licenses, as applicable, to sell their Products on the Platform. In agreeing to these Terms and Conditions, Sellers warrant that they hold the required licenses.
    5. In addition to these Terms, the Buyers agree by purchasing a Product to be bound by the terms and conditions of sale included in the publication displayed in the Marketplace, to the extent that such terms and conditions do not violate the applicable laws or policies of RedCloud. The offer to purchase a Product is irrevocable. Purchase offers will only be considered valid once they have been processed by the Marketplace and received by the Seller.
    6. Once the Buyer has selected the Products for purchase, such Products will be included in the Buyer´s shopping cart. At the end of the selection process, the Buyer must confirm his purchase and enter the place and method of delivery or pick-up, as offered by the Seller, and method of payment (“the Order”). After the Order is confirmed, it will be forwarded to the Seller for approval (who may accept the Order or modify the terms of the Order or reject the Order, at its sole discretion). Upon acceptance of the Order, the Marketplace will automatically inform the Buyer. The Products purchased through the Marketplace shall be subject to the dispatch and delivery conditions offered by the Seller chosen by the Buyer and available on the Marketplace and RedCloud will have no liability whatsoever regarding such dispatch and delivery or pick up, as applicable. In case of receipt of damaged or defective Products, the Buyer may make the corresponding claim to the Seller if the seller’s terms and/or applicable law allow for this.
    7. Upon an Order being made, the personal details of the Buyer will be shared with the Seller in order to and to the extent necessary to enable fulfilment of the Order.
    8. The form of payment for Products purchased on the Site may be performed by: (i) credit or debit card, (ii) the payment platform “RedPay” or (iii) such other means of payment as may be enabled by the Marketplace and accepted by Sellers in the future.
    9. The Buyer shall pay the price approved by the Seller when accepting the Order and, if applicable, the shipping and delivery costs. The Seller shall issue the corresponding invoice to the Buyer, this being the only invoicing method available for purchases through the Marketplace.
    10. By accepting these Terms, the Buyer acknowledges and agrees that the purchase and sale transaction it enters into with the Seller may be governed by additional conditions that will be provided by the Seller from time to time. The Marketplace and RedCloud will not be liable for any aspect of the transaction between the Buyer and the Seller, including but not limited to the terms agreed between the Buyer and the Seller, the payment by the Buyer and/or any defect in the Products or Services provided by the Seller.
    11. Acceptance of orders on the Marketplace:
      1. All Orders are subject to the condition precedent that the Seller validates the transaction and accepts it. To validate the transaction, Seller shall verify: (a) that it has, at the time of receipt of the Order by the Buyer, the Products in stock; (b) that it validates and accepts the amount and means of payment offered by the Buyer; and (c) any other aspect relating to the Order (including but not limited to delivery method). If an Order includes Products from different Sellers, such Order will be divided in sub-orders and each of the sub-orders redirected to the relevant Seller, who will proceed with the abovementioned acceptance. Buyers acknowledge and agree that Orders might only be partially accepted or rejected in full from time to time.
      2. The Buyer acknowledges and agrees that Orders may be rejected and/or suspended in certain cases even after the Order had been accepted. In this regard, the Marketplace may not be able to proceed with certain processing, in the following cases, without limitation: (a) when the Product ordered is not available; (b) when the payment service provider does not authorize payment of the price or payment has not been made for any reason whatsoever (if such means of payment is available on the Marketplace); or (c) when Buyers do not meet the ordering criteria specified in these Terms. In addition, in the event of force majeure or logistical difficulties in shipping to certain areas, the Marketplace and the Seller reserve the right to cancel an Order and/or apply exceptional terms and conditions. The Marketplace will automatically give notice of cancellation and/or application of exceptional terms and conditions as soon as possible after an Order is placed. Seller shall be independently and entirely responsible for the refund, cancellation and post-sales support of any Products or Services sold within the Marketplace.
    12. Fees on the Marketplace:
      1. For each Order, RedCloud will charge a fee, calculated based on the gross cost of the order (“the Fee“). As per the separate Commercial Agreement certain Sellers may agree to sponsor the fees of some or all Buyers in certain territories subject to additional terms. The applicable Fee will be billed on a monthly basis to the corresponding Seller.
      2. In addition to the Fee, RedCloud will charge VAT and any other local taxes that may apply.
      3. The Price includes costs of implementation and professional technical and business support. The Price includes fees for the use of the payment services covering cash digitization. It does not include any third-party payment processing fees such as Visa/Amex, etc.
    13. Invoicing of Fees:
      1. RedCloud will invoice the Company on the last day of each month for Marketplace Services performed within the course of that month. RedCloud’s payment terms are that its invoices are payable when received by you. The Company agrees to pay RedCloud’s invoices when it receives them.
      2. If the invoice is not paid within 30 days of the date of the invoice, interest will accrue monthly on the amount due at a rate 4%.
  8. Data and Marketing Services
    1. Collected Data may be used and enhanced for commercial purposes, including the provision of Collected Data to other Users or third-parties, whether or not for consideration. Where such commercial purposes involve the Collected Data (whether enhanced or otherwise) being provided directly to the User whose personal information forms the underlying data, it may be non-anonymised. Where commercial purposes involve the Collected Data (whether enhanced or otherwise) being provided to a User or third-party other than the User whose personal data forms the, or part of the, underlying data, it shall be anonymised and/or aggregated. For the avoidance of doubt, where Collected Data is anonymised and/or aggregated, the data of a single, identifiable User cannot be discerned from such.
    2. Data in relation to a User that is non-confidential and available in line with open commerce, including, but not limited to, data that the User provides openly on the Marketplace, may be enhanced, summarised and/or shared with other Users.
    3. RedCloud may use the personal data to contact a User through mobile, WhatsApp, email or other form of social media, including to contact the User with marketing materials. This may include, but is not limited to, the provision of personalised offers, promotions, advertisements or survey requests. A User may opt-out of being contacted by RedCloud through any type of medium.
  9. Payment Services
    1. Users may deposit money into their Account (“the Credit“) as a result of (i) collection transactions made through the Platform and (ii) through enabled debit cards and extra-bank collection networks or using any other means that may be indicated by the Platform in due course . The Credit will be credited to the User’s Account in accordance with the rates, taxes and discounts applicable and the mechanisms and rules determined by the Platform accepted by the User through these Terms. The User may use the Credit to perform the Transactions described in accordance with the provisions of these Terms.
    2. RedCloud acts as a Service provider through the Platform installed on your mobile device or through our Website. By initiating and performing a Transaction, you appoint RedCloud as your agent granting us an irrevocable mandate to dispose on your behalf of the Credit in your Account and transfer it to the Account of the designated recipient in accordance with your instructions. A financial institution designated for such purposes will hold the funds on your behalf until they are transferred to the recipient’s bank account, in the meantime you may not withdraw such funds or send such funds to any other recipient unless the initial Transaction is concluded.
    3. Upon receipt of a Top-Up request, you will issue a Transaction execution order, whereby you consent to RedCloud executing this and any other Transaction as may be necessary on your behalf. For this purpose, you shall provide the recipient’s Account information and such additional data as may be requested by the Platform. You hereby agree that all Transactions are subject to the availability of funds, which will be verified and confirmed by us.
    4. RedCloud shall have no obligation to execute the Transaction requested if you do not have sufficient Credit in your Account. Once we process your request, you will receive a Transaction confirmation receipt. This receipt is not equivalent to the receipt of the Credit in the receiving Account, which may take up to 48 business hours.
    5. RedCloud will not allow you to transfer Credit from your account in an amount exceeding the amount of money deposited and reflected in such Account.
    6. No Transaction may be cancelled after having been ordered by you unless authorized by RedCloud in accordance with the provisions herein contained. In any case of reversal of the Transaction, including due to any refunds agreed to be made between Users (the method of which shall be determined between the Users themselves), the Fees paid for the Service will not be refunded.
    7. RedCloud will use its best efforts to ensure that the Transaction is executed on the next business day following the date of receipt of your Transaction order, provided that the recipient has an Account in the Platform. If the recipient does not have an Account, the Transaction will be executed as soon as an Account is opened or on the date RedCloud receives the recipient’s bank account details.
    8. For each Transaction, RedCloud will charge a fee at the rate set forth in the Platform (the “Fee“), as published from time to time. The applicable Fee will be deducted from your Account, along with any applicable taxes related to this Fee, upon ordering each Transaction, and the new Account balance will appear on your Account screen and will be communicated to the User via a message automatically sent by the Platform.
    9. Upon closure of an Account for any reason, we are authorized to use the contact information you have provided to us to attempt to send you, or the recipient indicated by you, the funds equivalent to the Credit remaining in your Account. In the event that such information is incorrect or out of date, and/or we are unable to locate you to provide us with the information of the recipient to whom you wish to send the Credit, you acknowledge that you may lose both the credits and the funds corresponding to the Credit that is in your Account.
  10. Means of Payment
    1. The Platform has different suppliers in charge of the payment service. They are responsible for carrying out the Transactions. If the User shared their credit or debit card information in the Platform and makes it available to our supplier or entity responsible for the collection, authorizes the latter to debit from your credit or debit card charges incurred in the Account that the User registered on the Platform.
    2. The Users expressly consent to the use of credit available in the RedPay wallet as one of the methods for the payment of the Products or Services offered.
    3. Users may deposit money into their Account (“Credit”) as a result of (i) transactions made through the Marketplace and (ii) through enabled debit cards and extra-bank collection networks or using any other means that may be indicated by the Marketplace in due course . The Credit will be credited to the User’s Account in accordance with the rates, taxes and discounts applicable and the mechanisms and rules determined by RedCloud and accepted by the User through these Terms. The User may use the Credit to perform the transactions described in accordance with the provisions of these Terms.
    4. The Marketplace may offer and implement additional payment services, for which separate terms and conditions apply.
    5. The User agrees to pay all bills and charges due by him/her. Payments that may eventually be made through the Platform to charge credit to the Account, may be made online using credit cards and debit cards enabled or using any other means of payment that may be indicated in due course.
  11. Applicable Taxes
    1. It shall be the User’s sole responsibility to determine which taxes, if any, apply to the sale of Products, and it is the User’s sole responsibility to remit the correct tax to the appropriate tax authority. The fees payable by you to RedCloud under this Contract do not include any value added tax, or any other indirect and direct taxes arising as a result of or in connection with the Transactions contemplated hereby. Users agree to pay all applicable taxes to the relevant authorities. To the extent required by such tax authority, RedCloud may make withholding to cover such taxes and pay such taxes to the appropriate tax authority. The User shall indemnify and hold RedCloud harmless for any claims that may be made by the tax authorities with respect to applicable taxes, debts and/or interest related to sale and purchase of Products and Services carried out by the Users.

  12. Assignment of Rights
    1. The User may not assign, transfer, delegate or dispose of the rights or obligations under this Agreement, in whole or in part without RedCloud consent in writing. RedCloud may assign, transfer, delegate or dispose of the rights or obligations under this Agreement or its contractual position, in whole or in part, for which the User hereby gives his consent in advance to perform such actions.
  13. Trade marks
    1. RedCloud grants the corresponding license of its trade name and logo to the User, so that during the Term RedCloud may use them in the manner it deems convenient to advertise and communicate the Marketplace and the participation of users in the Marketplace.
  14. Compliance with Contractual Provisions
    1. The User shall comply with all the Terms set forth in this Contract and any other instructions set forth by RedCloud under the contractual relationship herein established, e.g. RedCloud’s policies. In addition, the User agrees: (i) not to violate any applicable law, statute, contract or regulation, (ii) not to infringe any third party rights or any of RedCloud’s rights, including copyright, patent, trademark, trade secret or other intellectual property and/or privacy rights, (iii) not to engage in verbal or other conduct that is characterized as obscene, defamatory, threatening or constitutes harassment, (iv) not to use the Services to receive funds as consideration for sexually oriented or obscene materials or services; (v) not to use the Services to receive funds for drug trafficking, controlled or illegal substances, steroids or prescription drugs, (vi) not to use the Services to launder money derived from illegal activities, (vii) not to provide false, inaccurate or misleading information, (viii) not to send or receive potentially fraudulent, illegitimate or illegal funds, (ix) not to refuse to cooperate in an investigation or provide confirmation of Users’ identity or any information the Users provided to us, (x) not to attempt to take any action that results in unlawful enrichment, (xi) not to access the Marketplace from a country in which the Services are not approved, (xii) not to disclose or distribute another User’s information to a third party, (xiii) not to use third party’s information for marketing purposes unless you receive such User’s explicit consent to do so.
    2. If we have reason to believe that you have engaged in forbidden activities, we may engage in actions necessary to protect RedCloud, another User, a third party or you from setbacks, claims, fees, fines, penalties and any other liability. The actions we may take include but are not limited to the following: block, limit, close or terminate your right to use or dispose of your Credit and/ or your Account in full or for any particular Transaction. We may also refuse to provide our Services in the future, withhold your Credit for as long as necessary to protect us and others against the risk of financial loss and take legal action against you. If we proceed with the closure of your Account, we will provide you with notice of the Account closure and, if possible, the reasons for the closure, along with the procedure for withdrawing the funds corresponding to any Credit your Account reflects.
  15. Intellectual Property
    1. The mere access to the Platform does not give the User any right of use over the content of the Platform (whether past, current, or future content). RedCloud is the owner, or the licensee of all intellectual property rights generated in the Platform and from the Services and any material published in connection with them except those which may be owned exclusively by Sellers and Buyers.
    2. The contents displayed on the Platform may not, in any way, be copied, distributed, reproduced or disclosed, by any means, under penalty of civil and/or criminal liability.
    3. The User may not rent, lease or transfer any rights to use the software or the Marketplace to any third party. If any Users fail to comply with RedCloud’s instructions, implementation and usage requirements, such Users will be liable for all resulting damages suffered by the User itself, RedCloud and any third parties. Users agree not to alter, reproduce, adapt, distribute, display, publish, translate, disassemble, decompile or otherwise attempt to create any source code derived from the software, the Services and/or the Platform. RedCloud does not own, control or have any responsibility or liability for any third-party software applications a User might choose to use on the Platform and/or in connection with the Services. The RedCloud name and logo, and all related logos of our products and services, are either the property of RedCloud or registered trademarks of RedCloud or its licensor. In addition, all graphics, button icons and scripts are protected by copyrights owned by RedCloud, trademarks and/or trade secrets of RedCloud. Users may not copy, imitate, modify, alter or use them without our prior written consent.
    4. The Users warrant that they have all relevant rights to publish the Products, its trademarks, logos and product claims in the Marketplace. By uploading the information, images, videos, documentation and any other materials to the Marketplace, the Users authorize RedCloud and its affiliated companies to use, publish, and/or reproduce the images and photographs included in its publications, its trade name, trademarks, advertising phrases, logos, designs, drawings, images and any other distinctive sign that identifies the Users and its products or services (“the Users’ Trademark“) and information regarding its products or services (“Product Information“) within the Marketplace and for communication and advertising purposes in any communications, announcements or campaign issued by RedCloud in any available media outlets. It shall be the User’s obligation to include on the Marketplace the Product Information, including those warnings required by the applicable legislation for the sale or advertising of the Products and Services. The Users grant RedCloud and its related companies a free, irrevocable, non-exclusive, international and time unlimited authorization to use, publish, reproduce and/or adapt the images, photographs, the Users’ Trademark, and the Product Information in order to be used in all RedCloud sites and applications, social networks and/or in any mass and non-mass communication media, including, without limitation, platforms and any other digital or physical media that RedCloud deems appropriate.
    5. The Users declare and guarantee that they are the owners or licensees of the necessary rights over the images, photographs contained in its publications, over the Users’ Trademarks, as well as over the Product Information, and that it has the necessary rights and powers to grant the authorization detailed in this clause, being exclusively liable for any infringement of third parties’ rights or for any inconsistencies or inaccuracies in the Product Information.
  16. Limitation of Liability
    1. Given that the Marketplace is a mere intermediary platform which connects Buyer and Seller, it does not participate in the transactions carried out between them. Consequently, the Seller will be responsible for all the obligations and tax charges applicable to the sale of its Products and/or Services, and the Marketplace and/or RedCloud cannot be held liable for any kind of non-compliance.
    2. It is the Seller who uses the Marketplace and publishes their Products and Services, and consequently defines the conditions of their offer (product or service offered, price, description, photos, quality, quantity, completeness, etc.). In all cases, Sellers will be responsible for the existence, quality, quantity, integrity and/or legitimacy of the Products and/or Services they offer and will hold the Marketplace and/or RedCloud harmless for any actions or claims that may arise because of an offer or transaction.
    3. The Platform is subject to possible interruption problems, technical failures, and temporary unavailability of the Services. We shall not be liable for damages of any nature whatsoever that may occur due to the unavailability or lack of continuity of operations of the Platform although RedCloud will make commercially reasonable efforts to ensure that Orders are processed in a timely manner, but in no way guarantees the amount of time necessary to complete their processing.
    4. We will use our commercially reasonable efforts to ensure the security and reliability of the Platform and the content available on the Platform by using various controls to detect, prevent and combat malicious activity. However, RedCloud shall not be liable for any damages arising from the actions of third parties, for the improper conduct of the User, or for any fact that is somehow outside our control.
    5. RedCloud shall not be liable for the User’s browsing on external websites, even if they were referenced on the Platform, so it is a duty of the User to read the terms and conditions, Privacy Policy and Cookies Policy (if applicable) of the website accessed, being the User responsible for any damage or injury suffered in relation to such third-party sites. RedCloud shall not be liable for orders, instructions, requests and/or wrong or incomplete Orders caused by erroneous data of the recipient’s Account, relevant information of the recipient or the payment transaction, provided by the User.
    6. RedCloud shall not be liable in any way for the fulfillment of the obligations assumed by Users with third parties in relation to the Services and/or Transactions to be made or received through the Platform. The User acknowledges and agrees that when making Transactions with other Users or third parties, the User is acting freely and at their own risk and responsibility. In any case, the Platform shall not be liable for direct damage, loss of profits, or any other damage and/or injury suffered by the User, due to Transactions made through the Platform. The Platform shall not be responsible for verifying the causes, amount or any other circumstance relating to Transactions or to the veracity of the personal data entered by the User. In the event that one or more User or any third party initiate any claim or legal action against other User based on Transactions performed between them, each and every one of the users involved in such claims or actions waive the Platform and its directors, managers, employees, agents, operators, representatives and attorneys from liability.
    7. The Platform shall not be liable for the User’s browsing on external websites, even if they were referenced in the Platform, so it is a duty of the User to read the Terms and Conditions and Privacy Policy of the website accessed, being the User responsible for any damage or injury suffered in relation to such third-party sites. The Platform shall not be liable for orders, instructions, requests and/or wrong or incomplete Transactions caused by erroneous data of the recipient’s Account, relevant information of the recipient or the payment transaction, provided by the User.
    8. In any case, RedCloud shall not be liable for direct or consequential damages, loss of profits, or any other damage and/or injury suffered by the User, due to the sale and purchase of Products made through the Marketplace. Neither the Platform nor RedCloud shall be responsible for verifying the causes, amount or any other circumstance relating to the Services or to the veracity of the personal data entered by the User. In the event that one or more User or any third party initiate any claim or legal action against other User based on the provision of the Services, each and every one of the users involved in such claims or actions waive RedCloud and its directors, managers, employees, agents, operators, representatives and attorneys from liability.
    9. The Seller must indemnify RedCloud, as well as its directors, managers, employees, agents, operators, representatives and attorneys, in the event of any loss or damage (including legal costs) caused by any claim formulated or presented by any third party based on (i) contents that the Seller gives, offers, publishes or transmits through the Services and/or the sale of the Products;(ii) the use of the Services or acquisition of a Product by the Buyer; or (iii) the non-compliance with these Terms by the User.
    10. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL REDCLOUD’S LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED IN THE AGGREGATE 100% OF THE FEES PAID IN CONNECTION WITH THE RELEVANT TRANSACTION WHICH GAVE RISE TO THE DISPUTE.
  17. Confidentiality
    1. The Parties agree to treat as confidential all information provided by either Party, as well as all information contained herein, and to prevent the disclosure of such information to third parties, either in whole or in part, without the prior written consent of the other Party (the “Confidential Information“).
    2. The Parties understand that information shall not be deemed to be confidential or proprietary to a Party when: (i) the information provided had already been known to the other Party; (ii) the information provided had already been in the public domain at the time it was disclosed by a Party, unless this occurs as a consequence of a disclosure made by such Party in breach of this Agreement or the Terms; or (iii) the Party had received the information from third parties who were under no obligation of confidentiality in relation to such information. It is further provided that either Party shall have the right to disclose the Confidential Information when so required under applicable law, or when strictly necessary in order to obtain any necessary governmental approval or to exercise the defence of its rights, provided that such Party notifies the other Party immediately of such requirement and allows the participation of such Party in the process in order to control such disclosure.
    3. The Parties are prohibited from obtaining confidential information by means of reverse engineering. “Reverse Engineering” shall mean all actions, including observing, testing, examining, reassembling and, if necessary, reassembling, with the aim of obtaining Confidential Information. This prohibition ends as soon as the product or the object on which the Confidential Information is based has been made publicly available through no fault of the Parties.
    4. The confidentiality obligation agreed in this Agreement shall remain in force even after the termination of this Agreement, whatever the cause of such termination may be, for a term of 5 (five) years or a longer term if the Confidential Information shall continue to be confidential or secret, counted as from the date of termination of the Agreement. In the case of Personal Data, the confidentiality obligation shall remain in force in perpetuity.
  18. Termination
    1. RedCloud and the User may, at any time during the term of this Contract, terminate it without cause by 30 days’ prior written notice, which will result in the closure of the User’s Account and termination of the User’s subscription, if applicable, but will not suspend the fulfillment of all Services requested already authorized by the User at the time of giving notice of termination. In this regard, the User shall remain liable for any Order, cost or any other activity incurred and for which the User is personally, directly or indirectly responsible prior to the time of closing the Account. For the purposes of exercising this power of termination, it is necessary that the party seeking termination of the Contract does not owe the other User or third parties involved in the Transactions the fulfillment of any obligation.
    2. The User shall pay any amount it remains liable for under this Agreement within 30 days of termination of this Contract. Any amount not paid within the 30 days of the date of termination, interest will accrue monthly on the amount due at a rate 4%.
    3. In addition, the Platform may, in case of breach by the User of the Terms or any other applicable law, or inactivity of the User on the Platform for a period longer than 12 (twelve) months, terminate the provision of Services without any prior notice, making statutory reserve of the right to claim damages that such breach has caused.

  19. General Provisions
    1. You agree that you are the owner of the mobile device, phone numbers and email addresses (and any other relevant device or account) with which you have registered in the Platform to use the Services, and you agree that you will inform us immediately by calling our call center if you change your phone number or other details or lose your device. You are responsible and shall hold RedCloud harmless from any Transaction or activity performed by you regarding your relationship with your telecommunications service provider or any other third party in connection with your use of the Services through your devices, such as charges for SMS or cell phone services.
    2. RedCloud reserves the right to modify, amend or update the Terms at any time in its sole discretion. Modifications shall be posted on the Platform and shall become effective on the day immediately following the day of posting. Such modifications shall be communicated by RedCloud to Users through the publication of an amended version of the Terms on the Platform. Any User who does not agree with the modifications made may immediately request the cancellation of the Account and must refrain from using the Platform. In the event that any User continues to use the Platform, such User will be deemed to have accepted the modified, amended or updated Terms.
    3. In the event that any provision of this Contract is declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining provisions of this Contract. Such void or unenforceable provision shall be replaced with a valid and enforceable provision that comes as close as possible to the desired economic effect of such void or unenforceable. This Contract represents the entire agreement between the User and RedCloud with respect to the Marketplace and the provision of the Services (together with all other guidelines, directives and policies issued by RedCloud and related to the Platform or the Services) and supersedes any prior, parallel, oral or written proposals or representations between the parties. All provisions which, notwithstanding termination of the Contract or closure of your Account, by their nature shall remain in effect, will do so, including provisions related to the suspension of your Account and rights to use the Services or any part thereof, including, without limitation, provisions related to ownership, intellectual property, warranties and liabilities. The breach of any specific provision by either party, or the failure to act or take action against the other party in the event of a breach by either party, shall not be deemed as a waiver of such right.
    4. The User may not assign, transfer, delegate or dispose of the rights or obligations under this Contract, in whole or in part. RedCloud may assign, transfer, delegate or dispose of the rights or obligations under this Contract or its contractual position, in whole or in part, for which the User hereby gives his consent in advance to perform such actions.
    5. The Sellers are third parties unrelated and independent from RedCloud; they are not affiliated with RedCloud. They conduct their business independently by the manufacturing, purchase and/or subsequent sale of Products; they sale or resale the Products in their own name and bear the entire entrepreneurial risk of their activity on the Marketplace and bear the risk of insolvency of the respective Buyers of any Products or Services. RedCloud makes no representation or warranty as to the operation and performance of the Seller, as to the performance of any obligations assumed by the Buyers to third parties (including but not limited to Sellers) or as to any obligations assumed by such third parties to Buyers in connection with any sale or purchase of Products made on the Marketplace and/or any payments made thereon.
    6. The User’s acceptance of these Terms and any use of the Platform by User does not create – and shall not be construed to create – any partnership, joint venture, employment, agency, distributorship, franchise, or agency relationship between the respective User and RedCloud.
  20. Cookies
    1. The Platform may use a tracking system using “cookies”, so that access to information, when moving from page to page, is done more quickly. It also helps in some cases to identify Users, without the need to ask them for their password again and again. These cookies are small files sent by the visited page and are stored on the hard disk of the computer, occupying little space. Users are informed that by using their browser options they can limit or restrict the hosting of these “cookies” as they wish, although it is not advisable to restrict them completely. The system may collect information about your preferences and interests. In the event that this occurs, the information will be used exclusively for statistical purposes to improve the services provided on the Platform.
  21. Data Privacy
    1. In order to use the Platform efficiently and securely, Users must provide certain information, including their name and surname, e-mail account, telephone, billing information, without which it would be impossible to provide the Services. Therefore, it is required that the information provided is true and accurate. The personal information that Users enter on the Platform is completely confidential and we will do our best to protect their privacy.
    2. RedCloud uses the services of third-party payment service providers. When Users enter details onto the Platform in order to undertake Transactions, such as data and numbers corresponding to credit cards (“Payment Data”), such Payment Data is not captured, held or otherwise stored by RedCloud and the relevant third-party payment service provider shall be responsible for the processing of the Payment Data.
    3. The User may exercise their rights of access, rectification or deletion, and request exclusion in accordance with the provisions of the applicable regulations on the subject by sending an email to the help center. The Platform has adopted the security levels of protection of personal data legally required and has installed all the technical means and measures at its disposal to prevent the loss, misuse, alteration, unauthorized access and theft of personal data. Where RedCloud is required to continue to hold any Personal Data following a User’s exercise of their rights under this clause, including as required by any applicable statute or legislation or otherwise, RedCloud shall only hold Personal Data to the minimum extent and for the minimum term required and shall inform the User, upon requested of such Personal Data retention.

  22. Governing Law and Jurisdiction
    1. These Terms, the Platform usage and the provision of the Services are governed by the laws of South Africa. In the event of a claim or dispute arising out of these Terms and/or your use of the Marketplace or the Services, you agree that the courts of South Africa shall have exclusive jurisdiction over such claims or disputes, without prejudice to your rights under applicable law.

  24. Project Leader
    1. For implementation purposes, each Party shall designate a person (the “Project Leader”) who will serve as valid and authorized interlocutor for each Party. The Project Leaders will be authorized to interact between them in order to make verbal requests, suggestions and any other relevant communication for the purposes of improving the Services.
  25. Staff Obligations
    1. RedCloud will be solely and limited to responsibility for compliance with all labor, social security and tax obligations that determine the legal provisions that govern during the validity of this Agreement and that correspond to RedCloud in its capacity as employers and / or entrepreneurs of any person who is involved in the provision of the Service to the Company.
  26. Respect for Human Rights
    1. RedCloud is committed to respecting the human rights of people and their employees, avoiding discrimination, harassment, abuse or intimidation in any of its forms, in relation to: Age, language or origin; Nationality or race; Marital status, gender, pregnancy; Diseases; Ideas, opinions or free expression; Political or sexual preferences; Religion, decent working conditions; Social or economic condition; Special physical capabilities; Any other circumstance that violates the diversity, freedom or dignity of the people.
    2. In the event that the Company becomes aware that the aforementioned principles are not being met, it may notify RedCloud with recommendations.
    3. The User is a third party unrelated and independent from RedCloud; it is not affiliated with RedCloud. The User conducts its business independently by the manufacturing, purchase and/or subsequent sale of Products. It sells or resale the Products in their own name and bear the entire entrepreneurial risk of their activity of resale of the Products and bear the risk of insolvency of their customers. RedCloud makes no representation or warranty as to the operation and performance of the obligations of the User.
    4. In the event that any provision of this Agreement is declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining provisions of this Agreement. Such void or unenforceable provision shall be replaced with a valid and enforceable provision that comes as close as possible to the desired economic effect of such void or unenforceable. This represents the entire Agreement between the User and RedCloud with respect to the provision of the Services (together with the Terms) and supersedes any prior, parallel, oral or written proposals or representations between the parties. All provisions which, notwithstanding termination of the Agreement, by their nature shall remain in effect, will do so, including, without limitation, provisions related to ownership, intellectual property, warranties and liabilities. The breach of any specific provision by either Party, or the failure to act or take action against the other Party in the event of a breach by either Party, shall not be deemed as a waiver of such right.
    5. The domiciles of the Parties abovementioned above are those that the Parties constitute for all purposes of this Agreement. Either Party may change its domicile to any other by giving prior notice to the other Party specifying its new domicile and contact person, but such change shall not be deemed to have occurred until the notice notifying the change is actually received by the other Party.

Brasil – Termos e Condições de Uso do Marketplace
  1. Geral
    1. O presente Termos de Serviço (“Termos“) é um acordo legal vinculativo entre você e a RedCloud (o “Contrato“) que rege o uso do site, aplicativos para dispositivos móveis e outras propostas presentes ou futuras da RedCloud (coletivamente, a “Plataforma“). O presente Termos pode ser atualizados de tempos em tempos, a critério exclusivo da RedCloud. Quando usado nestes Termos, “RedCloud”, “nós”, “nos” ou “nosso” refere-se à entidade RedCloud com a qual você está contratando e inclui seus sucessores e qualquer pessoa a quem os direitos tenham sido atribuídos sob este Contrato.
    2. Ao acessar a Plataforma, o Usuário adere automaticamente aos Termos que serão rigorosamente observados pelos Usuários. Estes termos, incluindo as legendas abaixo (que são consideradas parte integrante destes Termos), constituem contrato entre qualquer pessoa (doravante, “Usuário” ou, no plural, “Usuários“) que deseje acessar a Plataforma e/ou usar os Serviços aqui descritos e celebre este Contrato.
    3. Por favor, leia os Termos cuidadosamente antes de usar o Marketplace. Ao criar uma Conta e acessar e utilizar a Plataforma, o Usuário aceita e reconhece que os Termos são obrigatórios e vinculativos. Caso o Usuário não concorde com os Termos, deverá abster-se de utilizar a Plataforma.
    4. O Usuário concorda em usar a Plataforma para fins lícitos, respeitando as leis e regulamentos aplicáveis e de forma alguma usará a Plataforma ou seu conteúdo para fins contrários à lei e regulamentos aplicáveis ou à moral ou às políticas da Plataforma que possam ser emitidas ou alteradas pela RedCloud de tempos em tempos, a seu exclusivo critério, ou de qualquer outra forma que possa afetar o seu funcionamento, segurança e/ou informações nele contidas.
    5. Imprima e guarde uma cópia deste Contrato para seus registros. A RedCloud reserva-se o direito de aceitar a sua adesão a estes Termos e reserva-se o direito de usar o seu critério no exercício das suas prerrogativas de acordo com a lei.

    1. RedCloud Technologies Brasil Servicos Digitais LTDA, negociando como RedCloud, opera a Plataforma e fornece os Serviços. A RedCloud está registada no Brasil, CNPJ sob o nº 47.597.633/0001-92 e a sua sede está localizada no seguinte endereço: Rua do Paraíso, 347, Sala 001/A – Paraíso – CEP 04103-000 – São Paulo/SP, Brasil.

  3. Capacidade Jurídica
    1. Os Serviços oferecidos pela Plataforma estão disponíveis para aqueles Usuários, sejam pessoas físicas ou representantes de pessoas jurídicas, que tenham capacidade jurídica para contratar, ou seja, adquirir direitos e incorrer em obrigações. Os Serviços da Plataforma não poderão ser utilizados por pessoas que não possuam essa capacidade, menores de idade ou Usuários que tenham sido suspensos e/ou desqualificados pela Plataforma. Ao registar-se como Utilizador, declara sob juramento que é uma pessoa física maior de idade, com capacidade legal para contratar.
  4. Competência
    1. Esta Plataforma está disponível no território de Brasil (quando se refere a Vendedores) e/ou onde a loja está localizada (quando se refere a Compradores) e não se destina a ser acessada de qualquer jurisdição de qualquer estado, país ou território que não seja o mencionado acima. Nem nós nem os Vendedores fazemos qualquer declaração ou garantia de que a Plataforma ou qualquer um dos produtos são adequados ou disponíveis para uso, compra, entrega ou venda em outros locais.
  5. O Marketplace
    1. A RedCloud fornece um marketplace em sua Plataforma (“o Marketplace“). O Marketplace é uma plataforma de compras de serviços intermediários on-line B2B que permite: (i) transações de compra entre Usuários para pedidos e pagamentos de produtos on-line, incluindo produtos digitais (“Serviços do Marketplace“), (ii) transações de pagamento entre os Usuários, incluindo a capacidade de enviar créditos garantidos por fundos mantidos pelos Usuários em sua Conta como meio de pagamento (“Serviços de Pagamento”), (iii) acessibilidade e digitalização dos dados dos Usuários e suas transações usando o Marketplace (“Serviços de Dados”), (iv) campanhas de marketing estratégico (“Serviços de Marketing” e, em conjunto, os “Serviços“). As transações a serem realizadas dentro do Marketplace são B2B e, portanto, não visam conectar os Vendedores com os consumidores finais.
    2. RedCloud atua como um controlador de dados em relação ao processamento de dados dos Usuários. A RedCloud processa dados pessoais em conexão com vendas e compras feitas pelos Usuários (“Dados Coletados“) para fornecer Serviços de Dados e coletar outros dados, números e informações relevantes para a prestação de Serviços de Marketing (e outros Serviços relevantes). Os usuários consentem com tal coleta e uso de dados de acordo com estes Termos e a Política de Privacidade da Plataforma. Consulte também a Política de Privacidade.
    3. Os dados coletados podem incluir, mas não estão limitados a dados transacionais, dados comportamentais e dados de pagamento dos Usuários.
    4. Os Dados Coletados podem ser usados e aprimorados para fins de relatórios internos na RedCloud. Os usuários consentem com tal coleta e uso de dados de acordo com estes Termos e a Política de Privacidade da Plataforma.
  6. Inscrição
    1. Para usar os Serviços da Plataforma, os Usuários devem se registrar criando uma conta de acesso e fornecendo detalhes de nome de login e senha, e fornecendo informações necessárias que podem incluir nome, endereço de e-mail, endereço postal, informações relacionadas ao pagamento dos Serviços e quaisquer outras informações que possam ser razoavelmente exigidas por nós (“a Conta“) e concordando com estes Termos. Como parte do processo de registro, você receberá um código PIN ou uma senha única (“OTP“) usada para a verificação dos detalhes do Usuário, que lhe permitirá acessar os Serviços.  Todas as informações fornecidas pelos Usuários serão precisas e válidas em todos os momentos e qualquer alteração será imediatamente notificada a nós. A Conta permitirá que o Usuário use a Plataforma e acesse os Serviços. Os Usuários acessarão sua Conta através de um nome de usuário, número de telefone ou endereço de e-mail e uma senha pessoal a ser escolhida pelo Usuário. A Conta é única e intransferível. No caso de detectarmos Contas diferentes contendo os mesmos dados ou dados relacionados, podemos cancelá-los, suspendê-los ou desativá-los. Além disso, qualquer Usuário que for verificado para operar com mais de uma Conta será bloqueado e não poderá mais usar a Plataforma.
    2. Para efetuar pagamentos de transações na Plataforma, os Usuários devem cobrar crédito em sua Conta (conforme detalhado abaixo).
    3. A Conta permitirá que o Usuário use os Serviços em conjunto com qualquer outra funcionalidade que possa ser oferecida ao Usuário no futuro, sujeito aos termos e condições estabelecidos para cada funcionalidade.
    4. A RedCloud pode utilizar esforços razoáveis para verificar a identidade do Usuário e os dados inseridos no momento do registro. Isso pode incluir o uso de uma OTP fornecida através do uso de um número de celular (quando o uso de OTP está em vigor, o fornecimento de um número de celular é obrigatório). O número de celular é tratado como dados pessoais de acordo com estes termos e condições completos. A RedCloud não é responsável pela veracidade ou precisão dos dados fornecidos pelos Usuários. A RedCloud reserva-se o direito de solicitar provas e/ou dados adicionais com a finalidade de corroborar os dados relatados pelo Usuário, bem como suspender e/ou desativar temporária ou permanentemente os Usuários cujos dados não puderam ser verificados. Além disso, a RedCloud reserva-se o direito de suspender os Usuários temporária ou permanentemente em caso de violação dos Termos, bem como de rejeitar solicitações de Transações efetuadas.
    5. Quando o Usuário tiver fornecido as informações detalhadas conforme descrito no item 6.1 acima, a RedCloud poderá, usando esforços razoáveis conforme descrito no item 6.4 acima, realizar um processo de “KYC” (Conheça Sua Empresa) para o qual serviços de terceiros podem ser utilizados para garantir a veracidade das informações fornecidas pelo Usuário. Ao concordar com estes Termos e Condições, os Usuários concordam com o uso de tais serviços de terceiros pela RedCloud para o processo de KYC.
    6. A Plataforma manterá a confidencialidade dos dados fornecidos pelos Usuários para cadastro e os Usuários concordam em manter a confidencialidade de seu nome e senha e de quaisquer outras configurações da Conta. O Usuário concorda em nos notificar imediatamente sobre qualquer uso não autorizado de sua Conta e em isentar a Plataforma caso isso cause qualquer dano a nós ou a terceiros.
  7. Serviços de Marketplace
    1. O Vendedor deve oferecer produtos para venda e promover os Serviços nas categorias e subcategorias apropriadas e os Compradores podem comprar através do Marketplace produtos comercializados diretamente pelos Vendedores (“os Produtos“). As descrições dos Produtos podem incluir textos descritivos, gráficos, fotografias e outros conteúdos e condições relevantes para a venda dos Produtos, desde que não violem quaisquer direitos de terceiros, lei aplicável, disposição deste Contrato ou políticas da RedCloud.
    2. O Vendedor deve cumprir todas as obrigações regulatórias relevantes, como registros, autorizações, permissões e/ou autorizações exigidas pelos regulamentos aplicáveis para os Produtos e Serviços oferecidos, bem como com qualquer informação obrigatória do produto a ser incluída nas ofertas relevantes de acordo com os regulamentos aplicáveis. A RedCloud terá o direito de excluir qualquer oferta que não esteja em conformidade com os requisitos legais, mas não tenha obrigação de verificar a admissibilidade das ofertas.
    3. Os vendedores são responsáveis pela adesão às regulamentações locais ao vender Produtos e devem cumprir, conforme aplicável, a não venda de Produtos ou Produtos importados que sejam restritos ou proibidos pelas leis e regulamentos locais. Ao concordar com estes Termos e Condições, os Vendedores garantem que assim o cumprirão.
    4. Os vendedores são responsáveis por obter e manter as licenças necessárias, conforme aplicável, para vender seus Produtos na Plataforma. Ao concordar com estes Termos e Condições, os Vendedores garantem que possuem as licenças necessárias.
    5. Além destes Termos, os Compradores concordam ao adquirir um Produto em ficar vinculados aos termos e condições de venda incluídos na publicação exibida no Marketplace, na medida em que tais termos e condições não violem as leis ou políticas aplicáveis da RedCloud. A oferta de compra de um Produto é irrevogável. As ofertas de compra só serão consideradas válidas depois de processadas pelo Marketplace e recebidas pelo Vendedor.
    6. Uma vez que o Comprador tenha selecionado os Produtos para compra, tais Produtos serão incluídos no carrinho de compras do Comprador. No final do processo de seleção, o Comprador deve confirmar sua compra e inserir o local e o método de entrega ou retirada, conforme oferecido pelo Vendedor, e o método de pagamento (“o Pedido“). Depois que o Pedido for confirmado, ele será encaminhado ao Vendedor para aprovação (que poderá aceitar o Pedido ou modificar os termos do Pedido ou rejeitar o Pedido, a seu exclusivo critério). Após a aceitação do Pedido, o Marketplace informará automaticamente o Comprador. Os Produtos adquiridos através do Marketplace estarão sujeitos às condições de envio e entrega oferecidas pelo Vendedor escolhidas pelo Comprador e disponíveis no Marketplace e a RedCloud não terá qualquer responsabilidade em relação a tal envio e entrega ou retirada, conforme aplicável. Em caso de recebimento de Produtos danificados ou defeituosos, o Comprador pode fazer a reivindicação correspondente ao Vendedor se os termos do vendedor e/ou a lei aplicável permitirem isso.
    7. Após a realização de um Pedido, os dados pessoais do Comprador serão compartilhados com o Vendedor para e na medida necessária para permitir o cumprimento do Pedido.
    8. A forma de pagamento dos Produtos adquiridos no Site pode ser realizada por: (i) cartão de crédito ou débito, (ii) a plataforma de pagamento “RedPay” ou (iii) outros meios de pagamento que possam ser habilitados pelo Marketplace e aceitos pelos Vendedores no futuro.
    9. O Comprador deverá pagar o preço aprovado pelo Vendedor ao aceitar o Pedido e, se aplicável, os custos de envio e entrega. O Vendedor emitirá a fatura correspondente ao Comprador, sendo este o único método de faturamento disponível para compras através do Marketplace.
    10. Ao aceitar estes Termos, o Comprador reconhece e concorda que a transação de compra e venda que realiza com o Vendedor pode ser regida por condições adicionais que serão fornecidas pelo Vendedor de tempos em tempos. O Marketplace e a RedCloud não serão responsáveis por qualquer aspecto da transação entre o Comprador e o Vendedor, incluindo, mas não se limitando aos termos acordados entre o Comprador e o Vendedor, o pagamento pelo Comprador e/ou qualquer defeito nos Produtos ou Serviços fornecidos pelo Vendedor.
    11. Aceitação de pedidos no Marketplace
      1. Todas os Pedidos estão sujeitas à condição precedente de que o Vendedor valide a transação e a aceite. Para validar a transação, o Vendedor deverá verificar: (a) se possui, no momento do recebimento do Pedido pelo Comprador, os Produtos em estoque; (b) que valida e aceita o valor e os meios de pagamento oferecidos pelo Comprador; e (c) qualquer outro aspecto relacionado ao Pedido (incluindo, mas não limitado a método de entrega). Se um Pedido incluir Produtos de Vendedores diferentes, tal Pedido será dividido em subordens e cada uma das subordens será redirecionada para o Vendedor relevante, que prosseguirá com a aceitação acima mencionada. Os compradores reconhecem e concordam que os Pedidos podem ser aceitos apenas parcialmente ou rejeitados na íntegra de tempos em tempos.
      2. O Comprador reconhece e concorda que as Encomendas podem ser rejeitadas e/ou suspensas em certos casos, mesmo depois de a Encomenda ter sido aceite. A este respeito, o Marketplace pode não ser capaz de prosseguir com determinado processamento, nos seguintes casos, sem limitação: (a) quando o Produto encomendado não estiver disponível; (b) quando o prestador de serviços de pagamento não autorizar o pagamento do preço ou o pagamento não tiver sido efetuado por qualquer motivo (se tais meios de pagamento estiverem disponíveis no Marketplace); ou (c) quando os Compradores não atenderem aos critérios de pedido especificados nestes Termos. Além disso, em caso de força maior ou dificuldades logísticas no envio para determinadas áreas, o Marketplace e o Vendedor reservam-se o direito de cancelar um Pedido e/ou aplicar termos e condições excecionais. O Marketplace notificará automaticamente o cancelamento e/ou a aplicação de termos e condições excepcionais assim que possível após a realização de um Pedido. O Vendedor será independente e inteiramente responsável pelo reembolso, cancelamento e suporte pós-venda de quaisquer Produtos ou Serviços vendidos no Marketplace.
    12. Taxas no Marketplace
      1. Para cada Pedido, a RedCloud cobrará uma taxa, calculada com base no custo bruto do pedido (“a Taxa“). De acordo com o Acordo Comercial apartado, alguns Vendedores podem concordar em patrocinar as taxas de alguns ou de todos os Compradores em determinados territórios, sujeitos a termos adicionais. A Taxa aplicável será cobrada mensalmente ao Vendedor correspondente.
      2. Além da Taxa, a RedCloud cobrará IVA e quaisquer outros impostos locais que possam ser aplicados.
      3. O Preço inclui custos de implementação e suporte técnico e comercial profissional. O Preço inclui taxas pelo uso dos serviços de pagamento que cobrem a digitalização do dinheiro. Não inclui quaisquer taxas de processamento de pagamento de terceiros, como Visa/Amex, etc.
    13. Faturamento de Taxas
      1. A RedCloud faturará a Empresa no último dia de cada mês pelos Serviços do Marketplace realizados no decorrer daquele mês. As condições de pagamento da RedCloud são que suas faturas são pagas quando recebidas por você. A Empresa concorda em pagar as faturas da RedCloud quando as receber.
      2. Se a fatura não for paga no prazo de 30 dias a contar da data da fatura, os juros serão acumulados mensalmente sobre o valor devido a uma taxa 4%.
  8. Serviços de dados e marketing
    1. Os Dados Coletados podem ser usados e aprimorados para fins comerciais, incluindo o fornecimento de Dados Coletados a outros Usuários ou terceiros, a título oneroso ou não. Quando tais finalidades comerciais envolverem que os Dados Coletados (aprimorados ou não) sejam fornecidos diretamente ao Usuário cujas informações pessoais formam os dados subjacentes, eles podem não ser anônimos. Quando as finalidades comerciais envolverem o fornecimento dos Dados Recolhidos (melhorados ou não) a um Utilizador ou a terceiros que não o Utilizador, cujos dados pessoais constituam ou façam parte dos dados subjacentes, estes serão anônimos e/ou agregados. Para evitar dúvidas, quando os Dados Coletados são anônimos e/ou agregados, os dados de um único Usuário identificável não podem ser discernidos de tal.
    2. Os dados relativos a um Usuário que não sejam confidenciais e estejam disponíveis de acordo com o comércio aberto, incluindo, mas não limitado a, dados que o Usuário fornece abertamente no Marketplace, podem ser aprimorados, resumidos e/ou compartilhados com outros Usuários.
    3. A RedCloud pode usar os dados pessoais para entrar em contato com um Usuário através de celular, Whatsapp, e-mail ou outra forma de mídia social, inclusive para entrar em contato com o Usuário com materiais de marketing. Isso pode incluir, mas não se limita a, o fornecimento de ofertas personalizadas, promoções, anúncios ou solicitações de pesquisa. Um Usuário pode optar por não ser contatado pela RedCloud através de qualquer tipo de meio.
  9. Serviços de Pagamento
    1. Os Usuários poderão depositar dinheiro em sua Conta (“o Crédito“) como resultado de (i) transações de cobrança realizadas através da Plataforma e (ii) através de cartões de débito habilitados e redes de cobrança extrabancárias ou utilizando qualquer outro meio que possa ser indicado pela Plataforma oportunamente. O Crédito será creditado na Conta do Usuário de acordo com as taxas, impostos e descontos aplicáveis e os mecanismos e regras determinados pela Plataforma aceitos pelo Usuário através destes Termos. O Usuário poderá utilizar o Crédito para realizar as Transações descritas de acordo com as disposições destes Termos.
    2. A RedCloud atua como um provedor de serviços através da Plataforma instalada em seu dispositivo móvel ou através de nosso site. Ao iniciar e executar uma Transação, você nomeia a RedCloud como seu agente, concedendo-nos um mandato irrevogável para dispor em seu nome do Crédito em sua Conta e transferi-lo para a Conta do destinatário designado de acordo com suas instruções. Uma instituição financeira designada para tais fins manterá os fundos em seu nome até que eles sejam transferidos para a conta bancária do destinatário, enquanto isso, você não poderá retirar tais fundos ou enviar tais fundos para qualquer outro destinatário, a menos que a Transação inicial seja concluída.
    3. Após o recebimento de uma solicitação de recarga, você emitirá uma ordem de execução de Transação, pela qual você consente que a RedCloud execute esta e qualquer outra Transação conforme necessário em seu nome. Para este fim, você deverá fornecer as informações da Conta do destinatário e os dados adicionais que possam ser solicitados pela Plataforma. Você concorda que todas as Transações estão sujeitas à disponibilidade de fundos, que serão verificados e confirmados por nós.
    4. A RedCloud não terá obrigação de executar a Transação solicitada se você não tiver Crédito suficiente em sua Conta. Assim que processarmos o seu pedido, receberá um recibo de confirmação da transação. Esse recebimento não equivale ao recebimento do Crédito na Conta de recebimento, que pode levar até 48 horas úteis.
    5. A RedCloud não permitirá que você transfira Crédito de sua conta em um valor superior à quantidade de dinheiro depositado e refletido em tal Conta.
    6. Nenhuma Transação pode ser cancelada depois de ter sido encomendada por você, a menos que autorizada pela RedCloud de acordo com as disposições aqui contidas. Em qualquer caso de estorno da Transação, inclusive devido a quaisquer reembolsos acordados a serem feitos entre os Usuários (cujo método será determinado entre os próprios Usuários), as Taxas pagas pelo Serviço não serão reembolsadas.
    7. A RedCloud envidará seus melhores esforços para garantir que a Transação seja executada no próximo dia útil seguinte à data de recebimento de seu pedido de Transação, desde que o destinatário tenha uma Conta na Plataforma. Se o destinatário não tiver uma Conta, a Transação será executada assim que uma Conta for aberta ou na data em que a RedCloud receber os detalhes da conta bancária do destinatário.
    8. Para cada Transação, a RedCloud cobrará uma taxa estabelecida na Plataforma (a “Taxa“), conforme publicado periodicamente. A Taxa aplicável será deduzida da sua Conta, juntamente com quaisquer impostos aplicáveis relacionados a esta Taxa, ao encomendar cada Transação, e o novo saldo da Conta aparecerá na tela e será comunicado ao Usuário por meio de uma mensagem enviada automaticamente pela Plataforma.
    9. Após o encerramento de uma Conta por qualquer motivo, estamos autorizados a usar as informações de contato que você nos forneceu para tentar enviar a você, ou ao destinatário indicado por você, os fundos equivalentes ao Crédito restante em sua Conta. No caso de tais informações estarem incorretas ou desatualizadas e/ou não conseguirmos localizá-lo para nos fornecer as informações do destinatário para quem você deseja enviar o Crédito, você reconhece que pode perder os créditos e os fundos correspondentes ao Crédito que está em sua Conta.
  10. Meios de Pagamento
    1. A Plataforma tem diferentes fornecedores responsáveis pelo serviço de pagamento. Eles são responsáveis pela realização das Transações. Caso o Usuário tenha compartilhado suas informações de cartão de crédito ou débito na Plataforma e as disponibilize ao nosso fornecedor ou entidade responsável pela cobrança, autoriza este último a debitar de seu cartão de crédito ou débito encargos incorridos na Conta que o Usuário cadastrou na Plataforma.
    2. Os Usuários consentem expressamente com o uso do crédito disponível na carteira RedPay como um dos métodos para o pagamento dos Produtos ou Serviços oferecidos.
    3. Os Usuários podem depositar dinheiro em sua Conta (“Crédito“) como resultado de (i) transações feitas através do Marketplace e (ii) através de cartões de débito habilitados e redes de cobrança extrabancária ou usando qualquer outro meio que possa ser indicado pelo Marketplace no devido tempo. O Crédito será creditado na Conta do Usuário de acordo com as taxas, impostos e descontos aplicáveis e os mecanismos e regras determinados pela RedCloud e aceitos pelo Usuário através destes Termos. O Usuário poderá utilizar o Crédito para realizar as transações descritas de acordo com as disposições destes Termos.
    4. O Marketplace pode oferecer e implementar serviços de pagamento adicionais, para os quais se aplicam termos e condições separados.
    5. O Usuário concorda em pagar todas as contas e encargos devidos por ele. Os pagamentos que eventualmente venham a ser efetuados através da Plataforma para cobrança de crédito na Conta, poderão ser efetuados online utilizando cartões de crédito e débito habilitados ou utilizando qualquer outro meio de pagamento que venha a ser indicado oportunamente.
  11. Impostos Aplicáveis
    1. Será de responsabilidade exclusiva do Usuário determinar quais impostos, se houver, se aplicam à venda de Produtos, e é de responsabilidade exclusiva do Usuário remeter o imposto correto para a autoridade fiscal apropriada. As taxas pagas por você à RedCloud sob este Contrato não incluem nenhum imposto sobre valor agregado, ou quaisquer outros impostos indiretos e diretos decorrentes como resultado ou em conexão com as Transações contempladas neste documento. Os usuários concordam em pagar todos os impostos aplicáveis às autoridades competentes.  Na medida exigida por tal autoridade fiscal, a RedCloud pode fazer retenções na fonte para cobrir impostos e pagar tais impostos à autoridade fiscal apropriada. O Usuário indenizará e isentará a RedCloud de quaisquer reclamações que possam ser feitas pelas autoridades fiscais com relação aos impostos, dívidas e/ou juros aplicáveis relacionados à venda e compra de Produtos e Serviços realizados pelos Usuários.
  12. Cessão de Direitos
    1. O Usuário não pode ceder, transferir, delegar ou dispor dos direitos ou obrigações sob este Contrato, no todo ou em parte, sem o consentimento por escrito da RedCloud. A RedCloud pode ceder, transferir, delegar ou dispor dos direitos ou obrigações sob este Contrato ou sua posição contratual, no todo ou em parte, para os quais o Usuário dá seu consentimento prévio para realizar tais ações.
  13. Marcas
    1. A RedCloud concede a licença correspondente de seu nome comercial e logotipo ao Usuário, para que durante o Período a RedCloud possa usá-los da maneira que julgar conveniente para anunciar e comunicar o Marketplace e a participação dos usuários no Marketplace.
  14. Cumprimento de Disposições Contratuais
    1. O Usuário deverá cumprir todos os Termos estabelecidos neste Contrato e quaisquer outras instruções estabelecidas pela RedCloud sob a relação contratual aqui estabelecida, por exemplo, as políticas da RedCloud. Além disso, o Usuário concorda: (i) em não violar qualquer lei, estatuto, contrato ou regulamento aplicável, (ii) em não infringir quaisquer direitos de terceiros ou quaisquer direitos da RedCloud, incluindo direitos autorais, patentes, marcas registradas, segredos comerciais ou outros direitos de propriedade intelectual e/ou privacidade, (iii) não se envolver em conduta verbal ou outra que seja caracterizada como obscena,  difamatória, ameaçadora ou que constitua assédio, (iv) não usar os Serviços para receber fundos como contraprestação por materiais ou serviços sexualmente orientados ou obscenos; (v) não usar os Serviços para receber fundos para o tráfico de drogas, substâncias controladas ou ilegais, esteroides ou medicamentos prescritos, (vi) não usar os Serviços para lavar dinheiro derivado de atividades ilegais, (vii) não fornecer informações falsas, imprecisas ou enganosas, (viii) não enviar ou receber fundos potencialmente fraudulentos, ilegítimos ou ilegais, (ix) não se recusar a cooperar em uma investigação ou fornecer confirmação da identidade dos Usuários ou qualquer informação fornecida pelos Usuários para nós, (x) não tentar tomar qualquer ação que resulte em enriquecimento ilegal, (xi) não acessar o Marketplace de um país no qual os Serviços não são aprovados, (xii) não divulgar ou distribuir informações de outro Usuário a terceiros, (xiii) não usar informações de terceiros para fins de marketing, a menos que você receba o consentimento explícito de tal Usuário para fazê-lo.
    2. Se tivermos motivos para acreditar que você se envolveu em atividades proibidas, podemos nos envolver em ações necessárias para proteger a RedCloud, outro Usuário, um terceiro ou você de contratempos, reivindicações, taxas, multas, penalidades e qualquer outra responsabilidade. As ações que podemos tomar incluem, mas não estão limitadas ao seguinte: bloquear, limitar, fechar ou rescindir seu direito de usar ou dispor de seu Crédito e/ou de sua Conta na íntegra ou para qualquer Transação específica. Também podemos nos recusar a fornecer nossos Serviços no futuro, reter seu Crédito pelo tempo necessário para nos proteger e proteger outras pessoas contra o risco de perda financeira e tomar medidas legais contra você. Se prosseguirmos com o encerramento da sua Conta, forneceremos um aviso do encerramento da Conta e, se possível, os motivos do encerramento, juntamente com o procedimento para levantar os fundos correspondentes a qualquer Crédito que a sua Conta reflita.
  15. Propriedade intelectual
    1. O mero acesso à Plataforma não confere ao Usuário qualquer direito de uso sobre o conteúdo da Plataforma (seja conteúdo passado, atual ou futuro). A RedCloud é a proprietária ou licenciada de todos os direitos de propriedade intelectual gerados na Plataforma e dos Serviços e de qualquer material publicado em conexão com eles, exceto aqueles que podem ser de propriedade exclusiva de Vendedores e Compradores.
    2. Os conteúdos exibidos na Plataforma não poderão, de forma alguma, ser copiados, distribuídos, reproduzidos ou divulgados, por qualquer meio, sob pena de responsabilidade civil e/ou criminal.
    3. O Usuário não pode alugar, arrendar ou transferir quaisquer direitos de uso do software ou do Marketplace a terceiros. Se algum Usuário não cumprir as instruções, implementação e requisitos de uso da RedCloud, tais Usuários serão responsáveis por todos os danos resultantes sofridos pelo próprio Usuário, RedCloud e quaisquer terceiros. Os Usuários concordam em não alterar, reproduzir, adaptar, distribuir, exibir, publicar, traduzir, desmontar, descompilar ou tentar criar qualquer código-fonte derivado do software, dos Serviços e/ou da Plataforma. A RedCloud não possui, controla ou tem qualquer responsabilidade ou obrigação por quaisquer aplicativos de software de terceiros que um Usuário possa escolher usar na Plataforma e/ou em conexão com os Serviços. O nome e o logotipo da RedCloud e todos os logotipos relacionados de nossos produtos e serviços são de propriedade da RedCloud ou marcas registradas da RedCloud ou de seu licenciador. Além disso, todos os gráficos, ícones de botões e scripts são protegidos por direitos autorais de propriedade da RedCloud, marcas comerciais e/ou segredos comerciais da RedCloud. Os usuários não podem copiá-los, imitá-los, modificá-los, alterá-los ou usá-los sem o nosso consentimento prévio por escrito.
    4. Os Usuários garantem que têm todos os direitos relevantes para publicar os Produtos, suas marcas registradas, logotipos e reivindicações de produtos no Marketplace. Ao carregar as informações, imagens, vídeos, documentação e quaisquer outros materiais para o Marketplace, os Usuários autorizam a RedCloud e suas empresas afiliadas a usar, publicar e/ou reproduzir as imagens e fotografias incluídas em suas publicações, seu nome comercial, marcas registradas, frases publicitárias, logotipos, desenhos, desenhos, imagens e qualquer outro sinal distintivo que identifique os Usuários e seus produtos ou serviços (“a Marca Registrada dos Usuários”) e informações sobre seus produtos ou serviços (“Informações do Produto”) dentro do Marketplace e para fins de comunicação e publicidade em quaisquer comunicações, anúncios ou campanhas emitidas pela RedCloud em quaisquer meios de comunicação disponíveis. Será obrigação do Usuário incluir no Marketplace as Informações do Produto, incluindo os avisos exigidos pela legislação aplicável para a venda ou publicidade dos Produtos e Serviços. Os Usuários concedem à RedCloud e suas empresas relacionadas uma autorização gratuita, irrevogável, não exclusiva, internacional e por tempo ilimitado para usar, publicar, reproduzir e/ou adaptar as imagens, fotografias, a Marca Registrada dos Usuários e as Informações do Produto, a fim de serem usadas em todos os sites e aplicativos da RedCloud, redes sociais e/ou em qualquer meio de comunicação de massa e não de massa,  incluindo, sem limitação, plataformas e qualquer outra mídia digital ou física que a RedCloud considere apropriada.
    5. Os Usuários declaram e garantem que são os proprietários ou licenciados dos direitos necessários sobre as imagens, fotografias contidas em suas publicações, sobre as Marcas Registradas dos Usuários, bem como sobre as Informações do Produto, e que tem os direitos e poderes necessários para conceder a autorização detalhada nesta cláusula, sendo exclusivamente responsável por qualquer violação de direitos de terceiros ou por quaisquer inconsistências ou imprecisões nas Informações do Produto.
  16. Limitação de Responsabilidade
    1. Dado que o Marketplace é uma mera plataforma intermediária que conecta Comprador e Vendedor, ele não participa das transações realizadas entre eles. Consequentemente, o Vendedor será responsável por todas as obrigações e encargos fiscais aplicáveis à venda de seus Produtos e/ou Serviços, e o Marketplace e/ou RedCloud não podem ser responsabilizados por qualquer tipo de não conformidade.
    2. É o Vendedor que utiliza o Marketplace e publica seus Produtos e Serviços, e consequentemente define as condições de sua oferta (produto ou serviço oferecido, preço, descrição, fotos, qualidade, quantidade, integralidade etc.). Em todos os casos, os Vendedores serão responsáveis pela existência, qualidade, quantidade, integridade e/ou legitimidade dos Produtos e/ou Serviços que oferecem e isentarão o Marketplace e/ou a RedCloud de quaisquer ações ou reclamações que possam surgir devido a uma oferta ou transação.
    3. A Plataforma está sujeita a possíveis problemas de interrupção, falhas técnicas e indisponibilidade temporária dos Serviços. Não seremos responsáveis por danos de qualquer natureza que possam ocorrer devido à indisponibilidade ou falta de continuidade das operações da Plataforma, embora a RedCloud faça esforços comercialmente razoáveis para garantir que os Pedidos sejam processados em tempo hábil, mas de forma alguma garante a quantidade de tempo necessária para concluir seu processamento.
    4. Usaremos nossos esforços comercialmente razoáveis para garantir a segurança e a confiabilidade da Plataforma e do conteúdo disponível na Plataforma, usando vários controles para detectar, prevenir e combater atividades maliciosas. No entanto, a RedCloud não será responsável por quaisquer danos decorrentes de ações de terceiros, pela conduta imprópria do Usuário ou por qualquer fato que esteja de alguma forma fora do nosso controle.
    5. A RedCloud não será responsável pela navegação do Usuário em sites externos, mesmo que tenham sido referenciados na Plataforma, portanto, é um dever do Usuário ler os termos e condições, Política de Privacidade e Política de Cookies (se aplicável) do site acessado, sendo o Usuário responsável por qualquer dano ou prejuízo sofrido em relação a tais sites de terceiros. A RedCloud não será responsável por pedidos, instruções, solicitações e/ou Pedidos errados ou incompletos causados por dados errôneos da Conta do destinatário, informações relevantes do destinatário ou a transação de pagamento, fornecidas pelo Usuário.
    6. A RedCloud não será responsável, de forma alguma, pelo cumprimento das obrigações assumidas pelos Usuários com terceiros em relação aos Serviços e/ou Transações a serem feitas ou recebidas através da Plataforma. O Usuário reconhece e concorda que, ao realizar Transações com outros Usuários ou terceiros, o Usuário está agindo livremente e por sua conta e risco. Em qualquer caso, a Plataforma não será responsável por danos diretos, lucros cessantes, ou qualquer outro dano e/ou prejuízo sofrido pelo Usuário, devido a Transações realizadas através da Plataforma. A Plataforma não será responsável por verificar as causas, quantidade ou qualquer outra circunstância relacionada às Transações ou à veracidade dos dados pessoais inseridos pelo Usuário. No caso de um ou mais Usuários ou qualquer terceiro iniciar qualquer reclamação ou ação legal contra outro Usuário com base nas Transações realizadas entre eles, todos e cada um dos usuários envolvidos em tais reivindicações ou ações isentam a Plataforma e seus diretores, gerentes, funcionários, agentes, operadores, representantes e advogados de responsabilidade.
    7. A Plataforma não será responsável pela navegação do Usuário em sites externos, mesmo que tenham sido referenciados na Plataforma, portanto, é um dever do Usuário ler os Termos e Condições e a Política de Privacidade do site acessado, sendo o Usuário responsável por qualquer dano ou prejuízo sofrido em relação a tais sites de terceiros. A Plataforma não será responsável por ordens, instruções, solicitações e/ou Transações erradas ou incompletas causadas por dados errôneos da Conta do destinatário, informações relevantes do destinatário ou a transação de pagamento, fornecidas pelo Usuário.
    8. Em qualquer caso, a RedCloud não será responsável por danos diretos ou consequenciais, lucros cessantes ou qualquer outro dano e/ou prejuízo sofrido pelo Usuário, devido à venda e compra de Produtos feita através do Marketplace. Nem a Plataforma nem a RedCloud serão responsáveis por verificar as causas, quantidade ou qualquer outra circunstância relacionada aos Serviços ou à veracidade dos dados pessoais inseridos pelo Usuário. No caso de um ou mais Usuários ou qualquer terceiro iniciar qualquer reclamação ou ação legal contra outro Usuário com base na prestação dos Serviços, todos e cada um dos usuários envolvidos em tais reivindicações ou ações isentam a RedCloud e seus diretores, gerentes, funcionários, agentes, operadores, representantes e advogados de responsabilidade.
    9. O Vendedor deve indenizar a RedCloud, bem como seus diretores, gerentes, funcionários, agentes, operadores, representantes e advogados, no caso de qualquer perda ou dano (incluindo custos legais) causado por qualquer reclamação formulada ou apresentada por terceiros com base em (i) conteúdo que o Vendedor dá, oferece, publica ou transmite através dos Serviços e/ou da venda dos Produtos; (ii) o uso dos Serviços ou aquisição de um Produto pelo Comprador; ou (iii) o descumprimento destes Termos pelo Usuário.
    10. NA EXTENSÃO NÃO PROIBIDA POR LEI, EM NENHUM CASO A RESPONSABILIDADE DA REDCLOUD DECORRENTE OU RELACIONADA A ESTE CONTRATO, SEJA EM CONTRATO, ATO ILÍCITO (INCLUINDO NEGLIGÊNCIA E RESPONSABILIDADE OBJETIVA) OU SOB QUALQUER OUTRA TEORIA DE RESPONSABILIDADE, EXCEDERÁ NO TOTAL 100% DAS TAXAS PAGAS EM CONEXÃO COM A TRANSAÇÃO RELEVANTE QUE DEU ORIGEM À DISPUTA.
  17. Confidencialidade
    1. As Partes concordam em tratar como confidenciais todas as informações fornecidas por qualquer das Partes, bem como todas as informações aqui contidas, e em impedir a divulgação de tais informações a terceiros, no todo ou em parte, sem o consentimento prévio por escrito da outra Parte (as “Informações Confidenciais“).
    2. As Partes entendem que as informações não serão consideradas confidenciais ou de propriedade de uma Parte quando: (i) as informações fornecidas já tiverem sido conhecidas pela outra Parte; (ii) as informações fornecidas já eram de domínio público no momento em que foram divulgadas por uma Parte, a menos que isso ocorra como consequência de uma divulgação feita por tal Parte em violação deste Acordo ou dos Termos; ou (iii) a Parte tenha recebido as informações de terceiros que não estavam sob nenhuma obrigação de confidencialidade em relação a tais informações. Prevê-se ainda que qualquer das Partes terá o direito de divulgar as Informações Confidenciais quando tal for exigido pela legislação aplicável, ou quando estritamente necessário para obter qualquer aprovação governamental necessária ou para exercer a defesa dos seus direitos, desde que essa Parte notifique imediatamente a outra Parte desse requisito e permita a participação de tal Parte no processo a fim de controlar essa divulgação.
    3. As Partes estão proibidas de obter informações confidenciais por meio de engenharia reversa. “Engenharia Reversa” significa todas as ações, incluindo observação, teste, exame, remontagem e, se necessário, remontagem, com o objetivo de obter Informações Confidenciais. Esta proibição termina assim que o produto ou o objeto em que se baseiam as Informações Confidenciais tiver sido disponibilizado publicamente sem culpa das Partes.
    4. A obrigação de confidencialidade acordada neste Contrato permanecerá em vigor mesmo após a rescisão deste Contrato, qualquer que seja a causa de tal rescisão, por um prazo de 5 (cinco) anos ou um prazo mais longo se as Informações Confidenciais continuarem a ser confidenciais ou secretas, contadas a partir da data de rescisão do Contrato. No caso dos Dados Pessoais, a obrigação de confidencialidade permanecerá em vigor de forma perpétua.
  18. Rescisão
    1. A RedCloud e o Usuário podem, a qualquer momento durante a vigência deste Contrato, rescindi-lo sem justa causa mediante aviso prévio por escrito de 30 dias, o que resultará no encerramento da Conta do Usuário e rescisão da assinatura do Usuário, se aplicável, mas não suspenderá o cumprimento de todos os Serviços solicitados já autorizados pelo Usuário no momento da notificação da rescisão. A este respeito, o Usuário permanecerá responsável por qualquer Pedido, custo ou qualquer outra atividade incorrida e pela qual o Usuário seja pessoalmente, direta ou indiretamente responsável antes do momento do fechamento da Conta. Para fins de exercício deste poder de rescisão, é necessário que a parte que busca a rescisão do Contrato não deva ao outro Usuário ou a terceiros envolvidos nas Transações o cumprimento de qualquer obrigação.
    2. O Usuário deverá pagar qualquer quantia pela qual permaneça responsável sob este Contrato dentro de 30 dias após a rescisão deste Contrato. Qualquer valor não pago dentro dos 30 dias da data da rescisão, os juros serão acumulados mensalmente sobre o valor devido a uma taxa 4%.
    3. Além disso, a Plataforma poderá, em caso de violação pelo Usuário dos Termos ou de qualquer outra lei aplicável, ou inatividade do Usuário na Plataforma por um período superior a 12 (doze) meses, encerrar a prestação dos Serviços sem qualquer aviso prévio, reservando-se legalmente o direito de reclamar danos que tal violação tenha causado.
    4. Todas as notificações, solicitações, convocações e outras comunicações sob este Contrato serão feitas por escrito e por e-mail para os endereços e endereços de e-mail estabelecidos abaixo:

  19. Disposições Gerais
    1. Você concorda que é o proprietário do dispositivo móvel, números de telefone e endereços de e-mail (e qualquer outro dispositivo ou conta relevante) com o qual se registrou na Plataforma para usar os Serviços, e concorda que nos informará imediatamente ligando para nossa central de atendimento se alterar seu número de telefone ou outros detalhes ou perder seu dispositivo. Você é responsável e isentará a RedCloud de qualquer Transação ou atividade realizada por você em relação ao seu relacionamento com seu provedor de serviços de telecomunicações ou qualquer outro terceiro em conexão com seu uso dos Serviços por meio de seus dispositivos, como cobranças por SMS ou serviços de telefone celular.
    2. A RedCloud reserva-se o direito de modificar, alterar ou atualizar os Termos a qualquer momento, a seu exclusivo critério. As modificações serão publicadas na Plataforma e entrarão em vigor no dia imediatamente seguinte ao da postagem. Tais modificações serão comunicadas pela RedCloud aos Usuários através da publicação de uma versão alterada dos Termos na Plataforma. Qualquer Usuário que não concorde com as modificações realizadas poderá solicitar imediatamente o cancelamento da Conta e deverá abster-se de utilizar a Plataforma. No caso de qualquer Usuário continuar a usar a Plataforma, tal Usuário será considerado como tendo aceitado os Termos modificados, alterados ou atualizados.
    3. No caso de qualquer disposição deste Contrato ser declarada nula ou inexequível por qualquer tribunal de jurisdição competente, tal declaração não terá efeito sobre as disposições restantes deste Contrato. Tal disposição nula ou inexequível será substituída por uma disposição válida e exequível que se aproxime o mais possível do efeito econômico desejado de tal nulidade ou inexequível. Este Contrato representa o acordo integral entre o Usuário e a RedCloud com relação ao Marketplace e à prestação dos Serviços (juntamente com todas as outras diretrizes, diretivas e políticas emitidas pela RedCloud e relacionadas à Plataforma ou aos Serviços) e substitui quaisquer propostas ou representações anteriores, paralelas, orais ou escritas entre as partes. Todas as disposições que, não obstante a rescisão do Contrato ou o encerramento da sua Conta, pela sua natureza, permanecerão em vigor, o farão, incluindo disposições relacionadas com a suspensão da sua Conta e os direitos de utilização dos Serviços ou de qualquer parte deles, incluindo, sem limitação, disposições relacionadas com a propriedade, propriedade intelectual, garantias e responsabilidades. A violação de qualquer disposição específica por qualquer uma das partes, ou a falha em agir ou tomar medidas contra a outra parte em caso de violação por qualquer uma das partes, não será considerada como uma renúncia a tal direito.
    4. O Usuário não poderá ceder, transferir, delegar ou dispor dos direitos ou obrigações previstos neste Contrato, no todo ou em parte. A RedCloud pode ceder, transferir, delegar ou dispor dos direitos ou obrigações sob este Contrato ou sua posição contratual, no todo ou em parte, para os quais o Usuário dá seu consentimento prévio para realizar tais ações.
    5. Os Vendedores são terceiros não relacionados e independentes da RedCloud; eles não são afiliados à RedCloud. Eles conduzem seus negócios de forma independente pela fabricação, compra e/ou posterior venda de Produtos; eles vendem ou revendem os Produtos em seu próprio nome e assumem todo o risco empresarial de sua atividade no Marketplace e assumem o risco de insolvência dos respectivos Compradores de quaisquer Produtos ou Serviços. A RedCloud não faz nenhuma representação ou garantia quanto à operação e desempenho do Vendedor, quanto ao desempenho de quaisquer obrigações assumidas pelos Compradores a terceiros (incluindo, mas não limitado a Vendedores) ou quanto a quaisquer obrigações assumidas por tais terceiros para com os Compradores em conexão com qualquer venda ou compra de Produtos feita no Marketplace e/ou quaisquer pagamentos feitos nele.
    6. A aceitação destes Termos pelo Usuário e qualquer uso da Plataforma pelo Usuário não cria – e não deve ser interpretado para criar – qualquer parceria, joint venture, emprego, agência, distribuição, franquia ou relação de agência entre o respectivo Usuário e a RedCloud.
  20. Cookies
    1. A Plataforma poderá utilizar um sistema de rastreamento utilizando “cookies”, para que o acesso às informações, ao passar de página em página, seja feito de forma mais rápida. Também ajuda, em alguns casos, a identificar os Usuários, sem a necessidade de pedir sua senha repetidamente. Esses cookies são pequenos arquivos enviados pela página visitada e são armazenados no disco rígido do computador, ocupando pouco espaço. Os usuários são informados de que, ao usar as opções de seu navegador, podem limitar ou restringir a hospedagem desses “cookies” como desejarem, embora não seja aconselhável restringi-los completamente. O sistema pode coletar informações sobre suas preferências e interesses. Caso isso ocorra, as informações serão utilizadas exclusivamente para fins estatísticos para melhorar os serviços prestados na Plataforma.
  21. Privacidade de Dados
    1. Para utilizar a Plataforma de forma eficiente e segura, os Usuários devem fornecer determinadas informações, incluindo seu nome e sobrenome, conta de e-mail, telefone, informações de faturamento, sem as quais seria impossível fornecer os Serviços. Portanto, é necessário que as informações fornecidas sejam verdadeiras e precisas. As informações pessoais que os Usuários inserem na Plataforma são completamente confidenciais e faremos o possível para proteger sua privacidade.
    2. A RedCloud utiliza os serviços de terceiros prestadores de serviços de pagamento. Quando os Usuários inserem detalhes na Plataforma para realizar Transações, como dados e números correspondentes a cartões de crédito (“Dados de Pagamento“), tais Dados de Pagamento não são capturados, mantidos ou armazenados de outra forma pela RedCloud e o provedor de serviços de pagamento terceirizado relevante será responsável pelo processamento dos Dados de Pagamento.
    3. O Usuário poderá exercer seus direitos de acesso, retificação ou exclusão, e solicitar a exclusão de acordo com as disposições da regulamentação aplicável sobre o assunto, enviando um e-mail para a Central de Ajuda. A Plataforma adotou os níveis de segurança de proteção de dados pessoais legalmente exigidos e instalou todos os meios técnicos e medidas à sua disposição para evitar a perda, mau uso, alteração, acesso não autorizado e roubo de dados pessoais. Quando a RedCloud for obrigada a continuar a deter quaisquer Dados Pessoais após o exercício por um Usuário de seus direitos sob esta cláusula, incluindo conforme exigido por qualquer estatuto ou legislação aplicável ou de outra forma, a RedCloud manterá Dados Pessoais apenas na extensão mínima e pelo prazo mínimo exigido e informará o Usuário, mediante solicitado, de tal retenção de Dados Pessoais.

  22. Lei Aplicável e Jurisdição
    1. Estes Termos, o uso da Plataforma e a prestação dos Serviços são regidos pelas leis de Brasil. No caso de uma reivindicação ou disputa decorrente destes Termos e/ou seu uso do Marketplace ou dos Serviços, você concorda que os tribunais de Brasil terão jurisdição exclusiva sobre tais reivindicações ou disputas, sem prejuízo de seus direitos sob a lei aplicável.
  23. Atendimento

  24. Líder de Projetos
    1. Para fins de implementação, cada Parte designará uma pessoa (o “Líder de Projeto“) que servirá como interlocutor válido e autorizado para cada Parte.  Os Líderes de Projeto estarão autorizados a interagir entre eles a fim de fazer solicitações verbais, sugestões e qualquer outra comunicação relevante com o propósito de melhorar os Serviços.
  25. Obrigações Trabalhistas
    1. A RedCloud será única e limitada à responsabilidade pelo cumprimento de todas as obrigações trabalhistas, previdenciárias e fiscais que determinem as disposições legais que regem durante a vigência deste Contrato e que correspondam à RedCloud em sua qualidade de empregadores e/ou empreendedores de qualquer pessoa que esteja envolvida na prestação do Serviço à Empresa.
  26. Respeito aos Direitos Humanos
    1. A RedCloud está comprometida em respeitar os direitos humanos das pessoas e de seus funcionários, evitando discriminação, assédio, abuso ou intimidação em qualquer de suas formas, em relação a: idade, idioma ou origem; nacionalidade ou raça; estado civil, sexo, gravidez; doenças; ideias, opiniões ou liberdade de expressão; preferências políticas ou sexuais; religião, condições dignas de trabalho; condição social ou econômica; capacidades físicas especiais; qualquer outra circunstância que viole a diversidade, a liberdade ou a dignidade das pessoas.
    2. Caso a Empresa tome conhecimento de que os princípios acima mencionados não estão sendo cumpridos, ela pode notificar a RedCloud com recomendações.
    3. O Usuário é um terceiro não relacionado e independente da RedCloud; ele não é afiliado à RedCloud. O Usuário conduz seus negócios de forma independente pela fabricação, compra e/ou posterior venda de Produtos. Vende ou revende os Produtos em seu próprio nome e assume todo o risco empresarial da sua atividade de revenda dos Produtos e assume o risco de insolvência dos seus clientes. A RedCloud não faz nenhuma representação ou garantia quanto ao funcionamento e desempenho das obrigações do Usuário.
    4. No caso de qualquer disposição deste Contrato ser declarada nula ou inexequível por qualquer tribunal de jurisdição competente, tal declaração não terá efeito sobre as disposições restantes deste Contrato. Tal disposição nula ou inexequível será substituída por uma disposição válida e exequível que se aproxime o mais possível do efeito econômico desejado de tal nulidade. Isso representa todo o Contrato entre o Usuário e a RedCloud com relação à prestação dos Serviços (juntamente com os Termos) e substitui quaisquer propostas ou representações anteriores, paralelas, orais ou escritas entre as partes. Todas as disposições que, não obstante a rescisão do Contrato, por sua natureza, permanecerão em vigor, o farão, incluindo, sem limitação, disposições relacionadas à propriedade, propriedade intelectual, garantias e responsabilidades. A violação de qualquer disposição específica por qualquer das Partes, ou a falta de agir ou tomar medidas contra a outra Parte em caso de violação por qualquer das Partes, não será considerada uma renúncia a tal direito.
    5. Os domicílios das Partes acima mencionadas são aqueles que constituem para todos os fins deste Acordo. Qualquer das Partes pode alterar o seu domicílio mediante notificação prévia à outra Parte especificando o seu novo domicílio e pessoa de contato, mas tal alteração não será considerada como tendo ocorrido até que seja notifica a alteração.
Argentina – Términos y Condiciones de uso del Mercado en Línea
  1. General
    1. Estos Términos de Servicio (“Términos“) son un acuerdo legal vinculante entre usted y RedCloud (el “Contrato“) que regula su uso de los sitios web, aplicaciones para dispositivos móviles y otras ofertas presentes o futuras de RedCloud (colectivamente, la “Plataforma“). Estos Términos pueden ser actualizados de vez en cuando a discreción exclusiva de RedCloud. Cuando se usan en estos Términos, “RedCloud”, “nosotros”, “nos” o “nuestro” se refiere a la entidad de RedCloud con la que está contratando e incluye a sus sucesores y cualquier persona a quien se le hayan asignado derechos en virtud de este Contrato.
    2. Al acceder a la Plataforma, el Usuario se adhiere automáticamente a los Términos que deben ser observados estrictamente por los Usuarios. Estos términos, incluyendo los subtítulos a continuación (que se consideran parte integral de estos Términos), constituyen un contrato entre cualquier persona (en adelante, “Usuario” o, en plural, “Usuarios“) que desee acceder a la Plataforma y/o utilizar los Servicios descritos aquí y que entre en este Contrato.
    3. Por favor, lea detenidamente los Términos antes de utilizar el Marketplace. Al crear una cuenta y acceder y utilizar la Plataforma, el Usuario acepta y reconoce que los Términos son obligatorios y vinculantes. En caso de que el Usuario no esté de acuerdo con los Términos, debe abstenerse de utilizar la Plataforma.
    4. El Usuario acepta utilizar la Plataforma para fines legítimos, respetando las leyes y regulaciones aplicables y en ningún caso utilizará la Plataforma o su contenido para fines contrarios a la ley y regulaciones aplicables o a la moral, o las políticas de la Plataforma que puedan ser emitidas o modificadas por RedCloud de vez en cuando a su sola discreción, o de cualquier otra manera que pueda afectar su funcionamiento, seguridad y/o la información contenida en ella.
    5. Por favor, imprima y conserve una copia de este Contrato para sus registros. RedCloud se reserva el derecho de aceptar su adhesión a estos Términos y se reserva el derecho de utilizar su discreción en el ejercicio de sus prerrogativas de acuerdo con la ley.
  2. Acerca de Nosotros
    1. RedCloud Trust SA, operando como RedCloud, administra la Plataforma y provee los Servicios. RedCloud está registrada en Argentina con número de sociedad CUIT 30-71593389-2 y su oficina registrada se encuentra ubicada en la siguiente dirección: Sarmiento 767 2° F, CABA, Buenos Aires C1041 Argentina.
    2. Todas las notificaciones relacionadas con los Servicios aquí proporcionados deben ser enviadas a la siguiente dirección de correo electrónico: soporte@red101.com.
  3. Capacidad Legal
    1. Los Servicios ofrecidos por la Plataforma están disponibles para aquellos Usuarios, ya sean personas físicas o representantes de entidades legales, que tengan la capacidad legal para contratar, es decir, para adquirir derechos e incurrir en obligaciones. Los Servicios de la Plataforma no pueden ser utilizados por personas que no tengan esa capacidad, menores de edad o Usuarios que hayan sido suspendidos y/o descalificados por la Plataforma. Al registrarse como Usuario, usted declara bajo juramento que es una persona física mayor de edad, con capacidad legal para contratar.
  4. Territorio
    1. Esta Plataforma está disponible en el territorio de Argentina (cuando se refiere a los Vendedores) y/o donde se encuentre ubicada la tienda (cuando se refiere a los Compradores) y no está destinada a ser accedida desde ninguna jurisdicción de ningún estado, país o territorio que no sea el mencionado anteriormente. Ni nosotros ni los Vendedores hacemos ninguna declaración o garantía de que la Plataforma o cualquiera de los productos sean adecuados o estén disponibles para su uso, compra, entrega o venta en otros lugares.
  5. The Marketplace
    1. RedCloud proporciona un mercado en su Plataforma (“Marketplace“). Marketplace es una plataforma de compras de servicios de intermediación en línea B2B que permite: (i) transacciones de compra entre Usuarios para ordenar y pagar productos en línea (“Servicios de Marketplace“), (ii) transacciones de pago entre los Usuarios, incluida la capacidad de enviar créditos respaldados por fondos mantenidos por los Usuarios en su Cuenta como medio de pago (“Servicios de Pago“), (iii) accesibilidad y digitalización de datos de Usuarios y sus transacciones utilizando el Marketplace (“Servicios de Datos“), (iv) campañas de marketing estratégico (“Servicios de Marketing” y en conjunto, los “Servicios“). Las transacciones a realizarse dentro del Marketplace son B2B y, por lo tanto, no tienen como objetivo conectar a los Vendedores con los consumidores finales.
    2. RedCloud actúa como controlador de datos con respecto al procesamiento de datos de los Usuarios. RedCloud procesa datos personales en relación con las ventas y compras realizadas por los Usuarios (“Datos Recopilados“) para proporcionar Servicios de Datos y recopilar otros datos, cifras e información relevante para la prestación de Servicios de Marketing (y otros Servicios relevantes). Los Usuarios por la presente consienten dicha recopilación y uso de datos de acuerdo con estos Términos y la Política de Privacidad de la Plataforma. Por favor, consulte también la Política de Privacidad.
    3. Los datos recopilados pueden incluir, entre otros, datos transaccionales, datos de comportamiento y datos de pago de los Usuarios.
    4. Los Datos Recopilados pueden ser utilizados y mejorados con el fin de realizar informes internos dentro de RedCloud. Los Usuarios por la presente consienten dicha recopilación y uso de datos de acuerdo con estos Términos y la Política de Privacidad de la Plataforma.
  6. Registro
    1. Para utilizar los Servicios de la Plataforma, los Usuarios deben registrarse creando una cuenta de acceso proporcionando detalles de nombre de usuario y contraseña, nombre, dirección de correo electrónico, dirección postal, información relacionada con el pago de los Servicios y cualquier otra información que pueda ser razonablemente requerida por nosotros (“la Cuenta“) y aceptando estos Términos. Como parte del proceso de registro, recibirás un código PIN o un  código único (‘OTP’) utilizado para verificación de los datos del cliente que te permitirá acceder a los Servicios. Toda la información proporcionada por los Usuarios deberá ser precisa y válida en todo momento y cualquier cambio deberá ser notificado de inmediato a nosotros. La Cuenta permitirá al Usuario utilizar la Plataforma y acceder a los Servicios. Los Usuarios accederán a su Cuenta mediante un nombre de usuario y una contraseña personal elegidos por el Usuario. La Cuenta es única y no transferible. En caso de que detectemos diferentes Cuentas que contengan los mismos datos o datos relacionados, podemos cancelar, suspender o deshabilitarlas. En adición a esto, cualquier Usuario que sea detectado operando con más de una Cuenta será bloqueado y ya no podrá utilizar la Plataforma.
    2. Para realizar transacciones en la Plataforma, los Usuarios deben cargar crédito en su Cuenta (como se detalla a continuación).
    3. La Cuenta permitirá al Usuario utilizar los Servicios en conjunto con cualquier otra funcionalidad que pueda ofrecerse al Usuario en el futuro, sujeta a los términos y condiciones establecidos para cada funcionalidad.
    4. RedCloud puede emplear esfuerzos razonables para verificar la identidad del Usuario y los datos ingresados en el momento del registro. Esto puede incluir el uso de un código de un solo uso (“OTP“) proporcionado a través del uso de un número de teléfono móvil (donde se utilice OTP, la provisión de un número de teléfono móvil es obligatoria). El número de teléfono móvil  es consideradoy será tratado como datos personales de acuerdo con estos términos y condiciones en su integridad. RedCloud no es responsable de la veracidad o exactitud de los datos proporcionados por los Usuarios. RedCloud se reserva el derecho de solicitar pruebas y/o datos adicionales con el fin de corroborar los datos reportados por el Usuario, así como de suspender y/o deshabilitar temporal o permanentemente a aquellos Usuarios cuyos datos no pudieran ser verificados. Además, RedCloud se reserva el derecho de suspender temporal o permanentemente a los Usuarios en caso de incumplimiento de los Términos, así como de rechazar solicitudes de Transacciones realizadas.
    5. Cuando el Usuario haya proporcionado la información detallada en 6.1 anteriormente, RedCloud podrá, utilizando esfuerzos razonables como se describe en 6.4 anteriormente, llevar a cabo un proceso de “KYC” (Conozca a su Empresa) para el cual se pueden utilizar servicios de terceros para garantizar la veracidad de la información proporcionada por el Usuario. Al aceptar estos Términos y Condiciones, el Usuario acepta el uso por parte de RedCloud de dichos servicios de terceros para el proceso de KYC.
    6. La Plataforma mantendrá la confidencialidad de los datos proporcionados por los Usuarios para el registro y los Usuarios aceptan mantener la confidencialidad de su nombre y contraseña y cualquier otra configuración de la Cuenta. El Usuario acepta notificarnos inmediatamente de cualquier uso no autorizado de su Cuenta, y exime a la Plataforma de responsabilidad en caso de que esto cause algún daño a nosotros o a terceros.
  7. Servicios de Marketplace
    1. El Vendedor debe ofrecer a la venta productos y promocionar los Servicios en las categorías y subcategorías apropiadas, y los Compradores pueden adquirir productos a través del Marketplace comercializados directamente por los Vendedores (“los Productos“). Las descripciones de los Productos pueden incluir textos descriptivos, gráficos, fotografías y otros contenidos y condiciones relevantes para la venta de los Productos, siempre que no violen los derechos de terceros, la ley aplicable, las disposiciones de este Contrato o las políticas de RedCloud.
    2. El Vendedor debe cumplir con todas las obligaciones regulatorias relevantes, tales como registros, autorizaciones, permisos y/o autorizaciones requeridas por las regulaciones aplicables para los Productos y Servicios ofrecidos, así como con cualquier información obligatoria del producto que deba incluirse en las ofertas relevantes de conformidad con las regulaciones aplicables. RedCloud tendrá derecho a eliminar cualquier oferta que no cumpla con los requisitos legales, pero no tiene obligación de verificar la admisibilidad de las ofertas.
    3. Los vendedores son responsables de cumplir con las regulaciones locales al vender productos y deben cumplir, según corresponda, en no vender productos o productos importados que estén restringidos o prohibidos bajo las leyes y regulaciones locales. Al aceptar estos Términos y Condiciones, los vendedores garantizan que cumplirán con esto.
    4. Los vendedores son responsables de obtener y mantener las licencias necesarias, según corresponda, para vender sus productos en la plataforma. Al aceptar estos Términos y Condiciones, los vendedores garantizan que poseen las licencias requeridas.
    5. Además de estos Términos, los compradores acuerdan al comprar un producto estar obligados por los términos y condiciones de venta incluidos en la publicación mostrada en el Mercado, en la medida en que dichos términos y condiciones no violen las leyes o políticas aplicables de RedCloud. La oferta de compra de un producto es irrevocable. Las ofertas de compra solo se considerarán válidas una vez que hayan sido procesadas por el Mercado y recibidas por el vendedor.
    6. Una vez que el Comprador haya seleccionado los Productos para su compra, dichos Productos se incluirán en el carrito de compras del Comprador. Al final del proceso de selección, el Comprador deberá confirmar su compra e insertar el lugar y método de entrega o recogida, según lo ofrecido por el Vendedor, y el método de pago (“el Pedido“). Después de que el Pedido sea confirmado, se enviará al Vendedor para su aprobación (quien podrá aceptar el Pedido, modificar los términos del Pedido o rechazar el Pedido, a su sola discreción). Tras la aceptación del Pedido, Marketplace informará automáticamente al Comprador. Los Productos comprados a través del Marketplace estarán sujetos a las condiciones de envío y entrega ofrecidas por el Vendedor elegido por el Comprador y disponibles en Marketplace; RedCloud no tendrá ninguna responsabilidad respecto a dicho envío y entrega o recogida, según corresponda. En caso de recibir Productos dañados o defectuosos, el Comprador podrá presentar la reclamación correspondiente al Vendedor si los términos del vendedor y/o la ley aplicable lo permiten.
    7. Al realizarse un Pedido, los detalles personales del Comprador se compartirán con el Vendedor en la medida necesaria para permitir el cumplimiento del Pedido.
    8. La forma de pago para los Productos comprados en el Sitio puede realizarse mediante: (i) tarjeta de crédito o débito, (ii) la plataforma de pago “RedPay” o (iii) cualquier otro medio de pago que pueda ser habilitado por el Marketplace y aceptado por los Vendedores en el futuro.
    9. El Comprador deberá pagar el precio aprobado por el Vendedor al aceptar el Pedido y, si corresponde, los costos de envío y entrega. El Vendedor emitirá la factura correspondiente al Comprador, siendo este el único método de facturación disponible para compras a través del Marketplace.
    10. Al aceptar estos Términos, el Comprador reconoce y acepta que la transacción de compra y venta en la que participa con el Vendedor puede estar regida por condiciones adicionales que serán proporcionadas por el Vendedor de un momento a otro. Marketplace y RedCloud no serán responsables por ningún aspecto de la transacción entre el Comprador y el Vendedor, incluyendo pero no limitado a los términos acordados entre el Comprador y el Vendedor, el pago por parte del Comprador y/o cualquier defecto en los Productos o Servicios proporcionados por el Vendedor.
    11. Aceptación de pedidos en Marketplace
      1. Todos las pedidos están sujetos a la condición previa de que el Vendedor valide la transacción y la acepte. Para validar la transacción, el Vendedor verificará: (a) que tiene, en el momento de la recepción del Pedido por parte del Comprador, los Productos en stock; (b) que valida y acepta el monto y medio de pago ofrecido por el Comprador; y (c) cualquier otro aspecto relacionado con el Pedido (incluyendo, pero no limitado al método de entrega). Si un Pedido incluye Productos de diferentes Vendedores, dicho Pedido se dividirá en sub-pedidos y cada uno de los sub-pedidos se redirigirá al Vendedor correspondiente, quien procederá con la aceptación mencionada anteriormente. Los Compradores reconocen y aceptan que las Órdenes podrían ser solo parcialmente aceptadas o rechazadas en su totalidad de vez en cuando.
      2. El Comprador reconoce y acepta que las Órdenes pueden ser rechazadas y/o suspendidas en ciertos casos incluso después de que la Orden haya sido aceptada. En este sentido, el Marketplace puede no poder proceder con cierto procesamiento, en los siguientes casos, sin limitación: (a) cuando el Producto pedido no está disponible; (b) cuando el proveedor de servicios de pago no autoriza el pago del precio o el pago no se ha realizado por cualquier motivo (si dicho medio de pago está disponible en el Marketplace); o (c) cuando los Compradores no cumplen con los criterios de pedido especificados en estos Términos. Además, en caso de fuerza mayor o dificultades logísticas en el envío a ciertas áreas, el Marketplace y el Vendedor se reservan el derecho de cancelar una Orden y/o aplicar términos y condiciones excepcionales. El Marketplace notificará automáticamente la cancelación y/o aplicación de términos y condiciones excepcionales tan pronto como sea posible después de realizarse una Orden. El Vendedor será independiente y totalmente responsable del reembolso, cancelación y soporte post-venta de cualquier producto o servicio vendido a través de Marketplace.
    12. Tarifas en el Marketplace
      1. Para cada Pedido, RedCloud cobrará una tarifa, calculada en función del costo bruto del pedido (“la Tarifa“). Según el Acuerdo Comercial separado, ciertos Vendedores pueden acordar patrocinar las tarifas de algunos o todos los Compradores en ciertos territorios sujetos a términos adicionales. La Tarifa aplicable se facturará mensualmente al Vendedor correspondiente.
      2. Además de la Tarifa, RedCloud cobrará el IVA y cualquier otro impuesto local que corresponda.
      3. El Precio incluye los costos de implementación y soporte técnico y comercial profesional. El Precio incluye tarifas por el uso de los servicios de pago que cubren la digitalización de efectivo. No incluye tarifas de procesamiento de pagos de terceros, como Visa/Amex, etc.
    13. Facturación de Tarifas
      1. RedCloud facturará a la Empresa el último día de cada mes por los Servicios del Marketplace realizados durante el transcurso de ese mes. Los términos de pago de RedCloud son que sus facturas son pagaderas cuando las reciba usted. La Empresa acepta pagar las facturas de RedCloud cuando las reciba.
      2. Si la factura no se paga dentro de los 30 días a partir de la fecha de la factura, se acumularán intereses mensuales sobre el monto adeudado a una tasa 4%.
  8. Servicios de Datos y Marketing
    1. Los Datos Recopilados pueden ser utilizados y mejorados con fines comerciales, incluida la provisión de Datos Recopilados a otros Usuarios o terceros, ya sea con o sin contraprestación. Cuando dichos fines comerciales implican que los Datos Recopilados (ya sea mejorados o no) se proporcionen directamente al Usuario cuya información personal constituye los datos subyacentes, puede que no estén anonimizados. Cuando los fines comerciales implican que los Datos Recopilados (ya sea mejorados o no) se proporcionen a un Usuario o terceros que no sean el Usuario cuyos datos personales constituyen, total o parcialmente, los datos subyacentes, estos se anonimizarán y/o se agregaran. Para evitar dudas, cuando los Datos Recopilados se anonimicen y/o agreguen, los datos de un solo Usuario identificable no se podrán discernir de ellos.
    2. Los datos en relación con un Usuario que no sean confidenciales y estén disponibles conforme al comercio abierto, incluidos, entre otros, los datos que el Usuario proporciona abiertamente en el Marketplace, pueden ser mejorados, resumidos y/o compartidos con otros Usuarios.
    3. RedCloud puede utilizar los datos personales para contactar a un Usuario a través de teléfono móvil, WhatsApp, correo electrónico u otra forma de redes sociales, incluso para contactar al Usuario con materiales de marketing. Esto puede incluir, entre otros, la provisión de ofertas personalizadas, promociones, anuncios o solicitudes de encuestas. Un Usuario puede optar por no ser contactado por RedCloud a través de cualquier tipo de medio.
  9. Servicios de Pago
    1. Los Usuarios pueden depositar dinero en su Cuenta (“el Crédito“) como resultado de (i) transacciones de cobro realizadas a través de la Plataforma y (ii) mediante tarjetas de débito habilitadas y redes de cobro extrabancarias o utilizando cualquier otro medio que pueda ser indicado por la Plataforma en su debido momento. El Crédito se acreditará en la Cuenta del Usuario de acuerdo con las tarifas, impuestos y descuentos aplicables, y los mecanismos y reglas determinadas por la Plataforma aceptadas por el Usuario a través de estos Términos. El Usuario podrá utilizar el Crédito para realizar las Transacciones descritas de acuerdo con lo establecido en estos Términos.
    2. RedCloud actúa como proveedor de servicios a través de la Plataforma instalada en su dispositivo móvil o a través de nuestro Sitio Web. Al iniciar y realizar una Transacción, usted designa a RedCloud como su agente otorgándonos un mandato irrevocable para disponer en su nombre del Crédito en su Cuenta y transferirlo a la Cuenta del destinatario designado de acuerdo con sus instrucciones. Una institución financiera designada para tales fines retendrá los fondos en su nombre hasta que sean transferidos a la cuenta bancaria del destinatario, mientras tanto, usted no podrá retirar dichos fondos ni enviarlos a ningún otro destinatario a menos que la Transacción inicial se concluya.
    3. Al recibir una solicitud de Recarga, el Usuario emitirá una orden de ejecución de Transacción, mediante la cual otorga su consentimiento para que RedCloud ejecute esta y cualquier otra Transacción que pueda ser necesaria en su nombre. Para este fin, deberá proporcionar la información de la Cuenta del destinatario y cualquier otro dato adicional que pueda ser solicitado por la Plataforma. Por la presente, acepta que todas las Transacciones están sujetas a la disponibilidad de fondos, que serán verificados y confirmados por nosotros.
    4. RedCloud no tendrá la obligación de ejecutar la Transacción solicitada si no tiene suficiente Crédito en su Cuenta. Una vez que procesemos su solicitud, recibirá un comprobante de confirmación de la Transacción. Este comprobante no equivale a la recepción del Crédito en la Cuenta receptora, lo cual puede demorar hasta 48 horas hábiles.
    5. RedCloud no le permitirá transferir Crédito desde su cuenta en un monto que exceda el monto de dinero depositado y reflejado en dicha Cuenta.
    6. Ninguna Transacción podrá ser cancelada después de haber sido ordenada por usted a menos que sea autorizada por RedCloud de acuerdo con las disposiciones aquí contenidas. En cualquier caso de reversión de la Transacción, las cuotas pagadas por el Servicio no serán reembolsadas.
    7. RedCloud hará todos los esfuerzos razonables para garantizar que la Transacción se ejecute el siguiente día hábil siguiente a la fecha de recepción de su orden de Transacción, siempre y cuando el destinatario tenga una Cuenta en la Plataforma. Si el destinatario no tiene una Cuenta, la Transacción se ejecutará tan pronto como se abra una Cuenta o en la fecha en que RedCloud reciba los detalles de la cuenta bancaria del destinatario.
    8. Para cada Transacción, RedCloud cobrará una tarifa a la tasa establecida en la Plataforma (la “Tarifa“), según se publique de vez en cuando. La Tarifa aplicable se deducirá de su Cuenta al ordenar cada Transacción, y el nuevo saldo de la Cuenta aparecerá en la pantalla de su Cuenta y se comunicará al Usuario a través de un mensaje enviado automáticamente por la Plataforma.
    9. Al cerrar una Cuenta por cualquier motivo, estamos autorizados a utilizar la información de contacto que nos ha proporcionado para intentar enviarle a usted o al destinatario indicado por usted, los fondos equivalentes al Crédito restante en su Cuenta. En el caso de que dicha información sea incorrecta o esté desactualizada, y/o no podamos localizarlo para proporcionarnos la información del destinatario a quien desea enviar el Crédito, usted reconoce que puede perder tanto los créditos como los fondos correspondientes al Crédito que se encuentre en su Cuenta.
  10. Medios de Pago
    1. La Plataforma cuenta con diferentes proveedores a cargo del servicio de pago. Ellos son responsables de llevar a cabo las Transacciones. Si el Usuario comparte su información de tarjeta de crédito o débito en la Plataforma y la pone a disposición de nuestro proveedor o entidad responsable de la cobranza, autoriza a este último a debitar de su tarjeta de crédito o débito los cargos incurridos en la Cuenta que el Usuario registró en la Plataforma.
    2. Los Usuarios consienten expresamente en el uso del crédito disponible en la billetera de RedPay como uno de los métodos para el pago de los Productos o Servicios ofrecidos.
    3. Los Usuarios pueden depositar dinero en su Cuenta (“Crédito“) como resultado de (i) transacciones realizadas a través del Marketplace y (ii) mediante tarjetas de débito habilitadas y redes de cobro extrabancarias o utilizando cualquier otro medio que pueda ser indicado por el Marketplace en su debido momento. El Crédito se acreditará en la Cuenta del Usuario de acuerdo con las tarifas, impuestos y descuentos aplicables y los mecanismos y reglas determinados por RedCloud y aceptados por el Usuario a través de estos Términos. El Usuario podrá utilizar el Crédito para realizar las transacciones descritas de acuerdo con las disposiciones de estos Términos.
    4. El Marketplace puede ofrecer e implementar servicios de pago adicionales, para los cuales se aplican términos y condiciones separados.
    5. El Usuario acepta pagar todas las facturas y cargos que le correspondan. Los pagos que eventualmente se realicen a través de la Plataforma para cargar crédito en la Cuenta, podrán hacerse en línea utilizando tarjetas de crédito y débito habilitadas o utilizando cualquier otro medio de pago que pueda indicarse en su debido momento.
  11. Impuestos Aplicables
    1. Será responsabilidad exclusiva del Usuario determinar qué impuestos, en su caso, se aplican a la venta de Productos, y es responsabilidad exclusiva del Usuario remitir el impuesto correcto a la autoridad fiscal correspondiente. Las tarifas que usted debe pagar a RedCloud bajo este Contrato no incluyen ningún impuesto al valor agregado , ni ningún otro impuesto directo o indirecto que surja como resultado o en conexión con las Transacciones contempladas en el presente documento. Los Usuarios aceptan pagar todos los impuestos aplicables a las autoridades pertinentes. En la medida requerida por dicha autoridad fiscal, RedCloud puede hacer retenciones para cubrir dichos impuestos y pagar dichos impuestos a la autoridad fiscal correspondiente. El Usuario indemnizará y mantendrá indemne a RedCloud de cualquier reclamación que pudiera ser hecha por las autoridades fiscales con respecto a los impuestos aplicables, deudas y/o intereses relacionados con la venta y compra de Productos y Servicios realizados por los Usuarios.
  12. Asignación de Derechos
    1. El Usuario no podrá ceder, transferir, delegar o disponer de los derechos u obligaciones bajo este Contrato, en su totalidad o en parte, sin el consentimiento por escrito de RedCloud. RedCloud podrá ceder, transferir, delegar o disponer de los derechos u obligaciones bajo este Contrato o su posición contractual, en su totalidad o en parte, para lo cual el Usuario otorga su consentimiento por adelantado para llevar a cabo tales acciones.
  13. Marcas Comerciales
    1. RedCloud concede la correspondiente licencia de su nombre comercial y logotipo al Usuario, de modo que durante el Término RedCloud pueda usarlos de la manera que considere conveniente para publicitar y comunicar el Marketplace y la participación de los usuarios en el Marketplace.
  14. Cumplimiento con las Disposiciones Contractuales
    1. El Usuario deberá cumplir con todos los Términos establecidos en este Contrato y cualquier otra instrucción establecida por RedCloud bajo la relación contractual aquí establecida, por ejemplo, las políticas de RedCloud. Además, el Usuario acuerda: (i) no violar ninguna ley, estatuto, contrato o regulación aplicable, (ii) no infringir los derechos de terceros ni ninguno de los derechos de RedCloud, incluidos los derechos de autor, patentes, marcas comerciales, secretos comerciales u otros derechos de propiedad intelectual y/o de privacidad, (iii) no participar en conductas verbales u otras que se caractericen como obscenas, difamatorias, amenazantes o que constituyan acoso, (iv) no utilizar los Servicios para recibir fondos como contraprestación por materiales o servicios de orientación sexual u obscenos; (v) no utilizar los Servicios para recibir fondos para el tráfico de drogas, sustancias controladas o ilegales, esteroides o medicamentos recetados, (vi) no utilizar los Servicios para lavar dinero derivado de actividades ilegales, (vii) no proporcionar información falsa, inexacta o engañosa, (viii) no enviar o recibir fondos potencialmente fraudulentos, ilegítimos o ilegales, (ix) no negarse a cooperar en una investigación o proporcionar confirmación de la identidad de los Usuarios o cualquier información proporcionada por los Usuarios, (x) no intentar tomar ninguna acción que resulte en enriquecimiento ilícito, (xi) no acceder al Marketplace desde un país en el que los Servicios no estén aprobados, (xii) no divulgar ni distribuir la información de otro Usuario a un tercero, (xiii) no utilizar la información de terceros con fines de marketing a menos que reciba el consentimiento explícito de dicho Usuario para hacerlo.
    2. Si tenemos motivos para creer que como Usuario has participado en actividades prohibidas, podemos emprender acciones necesarias para proteger a RedCloud, otro Usuario, un tercero o a ti mismo de contratiempos, reclamos, multas, penalizaciones y cualquier otra responsabilidad. Las acciones que podemos tomar incluyen, pero no se limitan a las siguientes: bloquear, limitar, cerrar o terminar tu derecho a usar o disponer de tu Crédito y/o tu Cuenta en su totalidad o para cualquier Transacción en particular. También podemos negarnos a proporcionar nuestros Servicios en el futuro, retener tu Crédito durante el tiempo necesario para protegernos a nosotros y a otros contra el riesgo de pérdida financiera y emprender acciones legales en tu contra. Si procedemos con el cierre de tu Cuenta, te proporcionaremos un aviso del cierre de la Cuenta y, si es posible, los motivos del cierre, junto con el procedimiento para retirar los fondos correspondientes a cualquier Crédito que refleje tu Cuenta.
  15. Propiedad Intelectual
    1. El simple acceso a la Plataforma no otorga al Usuario ningún derecho de uso sobre el contenido de la Plataforma (ya sea contenido pasado, actual o futuro). RedCloud es el propietario o licenciatario de todos los derechos de propiedad intelectual generados en la Plataforma y en los Servicios, y cualquier material publicado en conexión con ellos, excepto aquellos que puedan ser propiedad exclusiva de Vendedores y Compradores.
    2. Los contenidos mostrados en la Plataforma no pueden, de ninguna manera, ser copiados, distribuidos, reproducidos o divulgados, por ningún medio, bajo pena de responsabilidad civil y/o penal.
    3. El Usuario no podrá alquilar, arrendar o transferir ningún derecho de uso del software o la Plataforma a terceros. Si algún Usuario no cumple con las instrucciones, requisitos de implementación y uso de RedCloud, dicho Usuario será responsable por todos los daños resultantes sufridos por el propio Usuario, RedCloud y cualquier tercero. Los Usuarios aceptan no alterar, reproducir, adaptar, distribuir, mostrar, publicar, traducir, desensamblar, descompilar o intentar crear cualquier código fuente derivado del software, los Servicios y/o la Plataforma. RedCloud no posee, controla ni tiene ninguna responsabilidad o responsabilidad por ninguna aplicación de software de terceros que un Usuario pueda optar por usar en la Plataforma y/o en conexión con los Servicios. El nombre y el logotipo de RedCloud, así como todos los logotipos relacionados con nuestros productos y servicios, son propiedad de RedCloud o marcas comerciales registradas de RedCloud o su licenciante. Además, todas las imágenes gráficas, iconos de botones y guiones están protegidos por derechos de autor propiedad de RedCloud, marcas comerciales y/o secretos comerciales de RedCloud. Los Usuarios no pueden copiar, imitar, modificar, alterar o usarlos sin nuestro consentimiento previo por escrito.
    4. Los Usuarios garantizan que tienen todos los derechos relevantes para publicar los Productos, sus marcas comerciales, logotipos y afirmaciones de productos en el Marketplace. Al cargar la información, imágenes, videos, documentación y cualquier otro material en el Marketplace, los Usuarios autorizan a RedCloud y sus empresas afiliadas a utilizar, publicar y/o reproducir las imágenes y fotografías incluidas en sus publicaciones, su nombre comercial, marcas comerciales, frases publicitarias, logotipos, diseños, dibujos, imágenes y cualquier otro signo distintivo que identifique a los Usuarios y sus productos o servicios (“la Marca del Usuario“) e información sobre sus productos o servicios (“Información del Producto“) dentro del Marketplace y con fines de comunicación y publicidad en cualquier comunicación, anuncio o campaña emitida por RedCloud en cualquier medio disponible. Será obligación del Usuario incluir en el Marketplace la Información del Producto, incluidas las advertencias requeridas por la legislación aplicable para la venta o publicidad de los Productos y Servicios. Los Usuarios otorgan a RedCloud y sus empresas relacionadas una autorización gratuita, irrevocable, no exclusiva, internacional y sin límite de tiempo para utilizar, publicar, reproducir y/o adaptar las imágenes, fotografías, la Marca de los Usuarios y la Información del Producto con el fin de ser utilizadas en todos los sitios y aplicaciones de RedCloud, redes sociales y/o en cualquier medio de comunicación masiva y no masiva, incluidas, entre otras, plataformas y cualquier otro medio digital o físico que RedCloud considere apropiado.
    5. Los Usuarios declaran y garantizan que son los propietarios o licenciatarios de los derechos necesarios sobre las imágenes, fotografías contenidas en sus publicaciones, sobre las Marcas de los Usuarios, así como sobre la Información del Producto, y que tienen los derechos y poderes necesarios para otorgar la autorización detallada en esta cláusula, siendo exclusivamente responsables de cualquier infracción de los derechos de terceros o de cualquier inconsistencia o inexactitud en la Información del Producto.
  16. Limitación de Responsabilidad
    1. Dado que Marketplace es una mera plataforma intermediaria que conecta al Comprador y al Vendedor, ésta no participa en las transacciones realizadas entre ellos. En consecuencia, el Vendedor será responsable de todas las obligaciones y cargos fiscales aplicables a la venta de sus Productos y/o Servicios, y Marketplace y/o RedCloud no pueden ser responsables por ningún tipo de incumplimiento.
    2. Es el Vendedor quien utiliza el Marketplace y publica sus Productos y Servicios, y en consecuencia define las condiciones de su oferta (producto o servicio ofrecido, precio, descripción, fotos, calidad, cantidad, integridad, etc.). En todos los casos, los Vendedores serán responsables de la existencia, calidad, cantidad, integridad y/o legitimidad de los Productos y/o Servicios que ofrecen y eximirán a Marketplace y/o a RedCloud de cualquier acción o reclamo que pueda surgir debido a una oferta o transacción.
    3. La Plataforma está sujeta a posibles problemas de interrupción, fallas técnicas y falta temporal de disponibilidad de los Servicios. No seremos responsables por daños de cualquier naturaleza que puedan ocurrir debido a la falta de disponibilidad o continuidad de las operaciones de la Plataforma, aunque RedCloud hará esfuerzos comercialmente razonables para garantizar que los Pedidos se procesen de manera oportuna, pero de ninguna manera garantiza el tiempo necesario para completar su procesamiento.
    4. Utilizaremos esfuerzos comercialmente razonables para garantizar la seguridad y confiabilidad de la Plataforma y el contenido disponible en la Plataforma mediante el uso de diversos controles para detectar, prevenir y combatir la actividad maliciosa. Sin embargo, RedCloud no será responsable por ningún daño derivado de las acciones de terceros, por la conducta indebida del Usuario o por cualquier hecho que esté de alguna manera fuera de nuestro control.
    5. RedCloud no será responsable de la navegación del Usuario en sitios web externos, incluso si se hace referencia a ellos en la Plataforma, por lo que es deber del Usuario leer los términos y condiciones, la Política de Privacidad y la Política de Cookies (si corresponde) del sitio web al que accede, siendo el Usuario responsable de cualquier daño o lesión sufrida en relación con dichos sitios de terceros. RedCloud no será responsable de pedidos, instrucciones, solicitudes y/o pedidos incorrectos o incompletos causados por datos erróneos de la cuenta del destinatario, información relevante del destinatario o la transacción de pago, proporcionados por el Usuario.
    6. RedCloud no será responsable de ninguna manera por el cumplimiento de las obligaciones asumidas por los Usuarios con terceros en relación con los Servicios y/o Transacciones que se realicen o reciban a través de la Plataforma. El Usuario reconoce y acepta que al realizar Transacciones con otros Usuarios o terceros, el Usuario está actuando libremente y bajo su propio riesgo y responsabilidad. En ningún caso, la Plataforma será responsable por daños directos, pérdida de beneficios, u cualquier otro daño y/o perjuicio sufrido por el Usuario, debido a Transacciones realizadas a través de la Plataforma. La Plataforma no será responsable de verificar las causas, el monto o cualquier otra circunstancia relacionada con las Transacciones o con la veracidad de los datos personales ingresados por el Usuario. En caso de que uno o más Usuarios o cualquier tercero inicien cualquier reclamo o acción legal contra otro Usuario basado en Transacciones realizadas entre ellos, todos y cada uno de los usuarios involucrados en tales reclamos o acciones eximen a la Plataforma y a sus directores, gerentes, empleados, agentes, operadores, representantes y abogados de responsabilidad.
    7. La Plataforma no será responsable de la navegación del Usuario en sitios web externos, incluso si están referenciados en la Plataforma, por lo que es deber del Usuario leer los Términos y Condiciones y la Política de Privacidad del sitio web al que accede, siendo el Usuario responsable de cualquier daño o lesión sufrida en relación con dichos sitios de terceros. La Plataforma no será responsable de pedidos, instrucciones, solicitudes y/o Transacciones incorrectas o incompletas causadas por datos erróneos de la cuenta del destinatario, información relevante del destinatario o la transacción de pago proporcionada por el Usuario.
    8. En cualquier caso, RedCloud no será responsable de daños directos o consecuentes, pérdida de beneficios, u cualquier otro daño y/o perjuicio sufrido por el Usuario, debido a la compra y venta de Productos realizada a través del Marketplace. Ni la Plataforma ni RedCloud serán responsables de verificar las causas, importe o cualquier otra circunstancia relativa a los Servicios o a la veracidad de los datos personales introducidos por el Usuario. En el caso de que uno o más Usuarios o cualquier tercero inicien cualquier reclamo o acción legal contra otro Usuario con base en la prestación de los Servicios, todos y cada uno de los usuarios involucrados en tales reclamos o acciones renuncian a RedCloud y sus directores, gerentes, empleados, agentes, operadores, representantes y abogados de responsabilidad.
    9. El Vendedor debe indemnizar a RedCloud, así como a sus directores, gerentes, empleados, agentes, operadores, representantes y abogados, en caso de cualquier pérdida o daño (incluidos los costos legales) causados por cualquier reclamo formulado o presentado por cualquier tercero basado en: (i) contenidos que el Vendedor proporciona, ofrece, publica o transmite a través de los Servicios y/o la venta de los Productos; (ii) el uso de los Servicios o la adquisición de un Producto por parte del Comprador; o (iii) el incumplimiento de estos Términos por parte del Usuario.
    10. EN LA MEDIDA EN QUE LA LEY LO PERMITA, EN NINGÚN CASO LA RESPONSABILIDAD DE REDCLOUD DERIVADA DE O RELACIONADA CON ESTE ACUERDO, YA SEA POR CONTRATO, AGRAVIO (INCLUYENDO NEGLIGENCIA Y RESPONSABILIDAD ESTRICTA) O BAJO CUALQUIER OTRA TEORÍA DE RESPONSABILIDAD, EXCEDERÁ EN TOTAL EL 100% DE LOS HONORARIOS PAGADOS EN RELACIÓN CON LA TRANSACCIÓN CORRESPONDIENTE QUE DIO LUGAR A LA DISPUTA.
  17. Confidencialidad
    1. Las Partes acuerdan tratar como confidencial toda la información proporcionada por cualquiera de las Partes, así como toda la información contenida aquí, y evitar la divulgación de dicha información a terceros, ya sea en su totalidad o en parte, sin el consentimiento previo por escrito de la otra Parte (la “Información Confidencial“).
    2. Las Partes comprenden que la información no se considerará confidencial o propiedad de una Parte cuando: (i) la información proporcionada ya fuera conocida por la otra Parte; (ii) la información proporcionada ya estuviera en el dominio público en el momento en que fue revelada por una Parte, a menos que esto ocurra como consecuencia de una divulgación realizada por dicha Parte en incumplimiento de este Acuerdo o los Términos; o (iii) la Parte hubiera recibido la información de terceros que no estuvieran bajo ninguna obligación de confidencialidad con respecto a dicha información. Además, se establece que cualquiera de las Partes tendrá derecho a divulgar la Información Confidencial cuando así lo exija la ley aplicable, o cuando sea estrictamente necesario para obtener cualquier aprobación gubernamental necesaria o para ejercer la defensa de sus derechos, siempre que dicha Parte notifique inmediatamente a la otra Parte de tal requisito y permita la participación de dicha Parte en el proceso para controlar dicha divulgación.
    3.  Las Partes están prohibidas de obtener información confidencial mediante ingeniería inversa. “Ingeniería Inversa” se entenderá como todas las acciones, incluyendo observar, probar, examinar, reensamblar y, si es necesario, volver a ensamblar, con el objetivo de obtener Información Confidencial. Esta prohibición termina tan pronto como el producto o el objeto en el que se basa la Información Confidencial haya sido hecho públicamente disponible sin culpa de las Partes.
    4. La obligación de confidencialidad acordada en este Acuerdo permanecerá vigente incluso después de la terminación de este Acuerdo, cualquiera que sea la causa de dicha terminación, por un período de 5 (cinco) años o un plazo más largo si la Información Confidencial continúa siendo confidencial o secreta, contados a partir de la fecha de terminación del Acuerdo. En el caso de Datos Personales, la obligación de confidencialidad permanecerá en vigor indefinidamente.
  18. Terminación
    1. RedCloud y el Usuario pueden, en cualquier momento durante la vigencia de este Contrato, terminarlo sin causa mediante un aviso previo por escrito de 30 días, lo que resultará en el cierre de la Cuenta del Usuario y la terminación de la suscripción del Usuario, si corresponde, pero no suspenderá el cumplimiento de todos los Servicios solicitados ya autorizados por el Usuario en el momento de dar aviso de terminación. En este sentido, el Usuario seguirá siendo responsable de cualquier Pedido, costo o cualquier otra actividad incurrida y por la cual el Usuario sea personal, directa o indirectamente responsable antes del momento de cerrar la Cuenta. A los efectos de ejercer este poder de terminación, es necesario que la parte que busca la terminación del Contrato no adeude al otro Usuario o a terceros involucrados en las Transacciones el cumplimiento de ninguna obligación.
    2. El Usuario deberá pagar cualquier cantidad por la que siga siendo responsable bajo este Contrato dentro de los 30 días posteriores a la terminación del mismo. Cualquier cantidad no pagada dentro de los 30 días posteriores a la fecha de terminación generará intereses mensuales sobre el monto adeudado a una tasa 4%.
    3. Además, la Plataforma podrá, en caso de incumplimiento por parte del Usuario de los Términos o cualquier otra ley aplicable, o inactividad del Usuario en la Plataforma por un período superior a 12 (doce) meses, terminar la prestación de los Servicios sin previo aviso, reservándose el derecho estatutario de reclamar los daños que dicho incumplimiento haya causado.
    4. Todos los avisos, solicitudes, citaciones y otras comunicaciones bajo este Contrato deberán hacerse por escrito y por correo electrónico a las direcciones y direcciones de correo electrónico establecidas a continuación:

  19. Provisiones Generales
    1. Estás de acuerdo en que eres el propietario del dispositivo móvil y los números de teléfono con los que te has registrado en la Plataforma para usar los Servicios, y aceptas que nos informarás de inmediato llamando a nuestro centro de atención telefónica si cambias tu número de teléfono o pierdes tu dispositivo. Eres responsable y eximirás a RedCloud de cualquier Transacción o actividad realizada por ti en relación con tu relación con tu proveedor de servicios de telecomunicaciones o cualquier otro tercero en conexión con tu uso de los Servicios a través de tus dispositivos, como cargos por SMS o servicios de telefonía celular.
    2. RedCloud se reserva el derecho de modificar, enmendar o actualizar los Términos en cualquier momento a su sola discreción. Las modificaciones se publicarán en la Plataforma y entrarán en vigor el día siguiente al día de la publicación. RedCloud comunicará dichas modificaciones a los Usuarios mediante la publicación de una versión modificada de los Términos en la Plataforma. Cualquier Usuario que no esté de acuerdo con las modificaciones realizadas podrá solicitar de inmediato la cancelación de la Cuenta y deberá abstenerse de utilizar la Plataforma. En el caso de que algún Usuario continúe utilizando la Plataforma, se considerará que dicho Usuario ha aceptado los Términos modificados, enmendados o actualizados.
    3. En caso de que cualquier disposición de este Contrato sea declarada nula o no ejecutable por cualquier tribunal competente, dicha declaración no afectará a las disposiciones restantes de este Contrato. Tal disposición nula o no ejecutable será reemplazada por una disposición válida y ejecutable que se acerque lo más posible al efecto económico deseado de dicha disposición nula o no ejecutable. Este Contrato representa el acuerdo completo entre el Usuario y RedCloud con respecto al Marketplace y la prestación de los Servicios (junto con todas las demás directrices, directivas y políticas emitidas por RedCloud y relacionadas con la Plataforma o los Servicios) y sustituye cualquier propuesta o representación previa, paralela, oral o escrita entre las partes. Todas las disposiciones que, a pesar de la terminación del Contrato o el cierre de su Cuenta, por su naturaleza deberán permanecer en vigencia, lo harán, incluidas las disposiciones relacionadas con la suspensión de su Cuenta y derechos para usar los Servicios o cualquier parte de los mismos, incluidas, entre otras, las disposiciones relacionadas con la propiedad, propiedad intelectual, garantías y responsabilidades. El incumplimiento de cualquier disposición específica por parte de cualquiera de las partes, o la falta de actuar o tomar medidas contra la otra parte en caso de incumplimiento por parte de cualquiera de las partes, no se considerará como una renuncia a tal derecho.
    4. El Usuario no podrá ceder, transferir, delegar o disponer de los derechos u obligaciones bajo este Contrato, en su totalidad o en parte. RedCloud podrá ceder, transferir, delegar o disponer de los derechos u obligaciones bajo este Contrato o su posición contractual, en su totalidad o en parte, para lo cual el Usuario otorga su consentimiento anticipado para llevar a cabo dichas acciones.
    5. Los Vendedores son terceros no relacionados e independientes de RedCloud; no están afiliados a RedCloud. Realizan su negocio de manera independiente mediante la fabricación, compra y/o posterior venta de Productos; venden o revenden los Productos en su propio nombre y asumen todo el riesgo empresarial de su actividad en el Marketplace y el riesgo de insolvencia de los respectivos Compradores de cualquier Producto o Servicio. RedCloud no ofrece ninguna representación o garantía sobre la operación y el rendimiento del Vendedor, sobre el cumplimiento de cualquier obligación asumida por los Compradores hacia terceros (incluidos, entre otros, los Vendedores) o sobre cualquier obligación asumida por dichos terceros hacia los Compradores en relación con cualquier venta o compra de Productos realizada en el Marketplace y/o cualquier pago realizado en él.
    6. La aceptación por parte del Usuario de estos Términos y cualquier uso de la Plataforma por parte del Usuario no crea, ni se interpretará como la creación de, ninguna asociación, empresa conjunta, empleo, agencia, distribuidor, franquicia o relación de agencia entre el Usuario respectivo y RedCloud.
  20. Cookies
    1. La Plataforma puede utilizar un sistema de seguimiento mediante “cookies”, para que el acceso a la información, al moverse de una página a otra, se realice más rápidamente. También ayuda, en algunos casos, a identificar a los Usuarios, sin necesidad de pedirles su contraseña una y otra vez. Estas cookies son archivos pequeños enviados por la página visitada y se almacenan en el disco duro de la computadora, ocupando poco espacio. Se informa a los Usuarios que mediante las opciones de su navegador pueden limitar o restringir el hospedaje de estas “cookies” como deseen, aunque no es recomendable restringirlas completamente. El sistema puede recopilar información sobre sus preferencias e intereses. En caso de que esto ocurra, la información se utilizará exclusivamente con fines estadísticos para mejorar los servicios proporcionados en la Plataforma.
  21. Privacidad de Datos
    1. Para utilizar la Plataforma de manera eficiente y segura, los Usuarios deben proporcionar cierta información, incluidos su nombre y apellidos, cuenta de correo electrónico, teléfono, información de facturación, sin la cual sería imposible proporcionar los Servicios. Por lo tanto, se requiere que la información proporcionada sea veraz y precisa. La información personal que los Usuarios ingresan en la Plataforma es completamente confidencial y haremos todo lo posible para proteger su privacidad.
    2. RedCloud utiliza los servicios de proveedores de servicios de pago de terceros. Cuando los Usuarios ingresan detalles en la Plataforma para llevar a cabo Transacciones, como datos y números correspondientes a tarjetas de crédito (“Datos de Pago”), dichos Datos de Pago no son capturados, retenidos o almacenados de ninguna otra manera por RedCloud, y el proveedor de servicios de pago de terceros relevante será responsable del procesamiento de los Datos de Pago.
    3. El Usuario puede ejercer sus derechos de acceso, rectificación o supresión, y solicitar la exclusión de acuerdo con lo establecido en las disposiciones de la normativa aplicable sobre el tema enviando un correo electrónico al centro de ayuda. La Plataforma ha adoptado los niveles de seguridad de protección de datos personales legalmente requeridos y ha instalado todos los medios técnicos y medidas a su disposición para prevenir la pérdida, el mal uso, la alteración, el acceso no autorizado y el robo de datos personales. Cuando RedCloud esté obligado a continuar manteniendo algún Datos Personales después de que un Usuario ejerza sus derechos en virtud de esta cláusula, incluido según lo requiera cualquier estatuto o legislación aplicable o de otro modo, RedCloud solo mantendrá Datos Personales en la medida mínima y por el tiempo mínimo requerido, y deberá informar al Usuario, a solicitud de dicho mantenimiento de Datos Personales.

  22. Jurisdicción y Ley Aplicable
    1.  Estos Términos, el uso de la Plataforma y la prestación de los Servicios están regidos por las leyes de Argentina. En caso de una reclamación o disputa derivada de estos Términos y/o su uso del Marketplace o los Servicios, usted acepta que los tribunales de Argentina tendrán jurisdicción exclusiva sobre tales reclamaciones o disputas, sin perjuicio de sus derechos conforme a la ley aplicable.

  24. Líder del Proyecto
    1. Para fines de implementación, cada Parte designará a una persona ( “Líder del Proyecto“) que actuará como interlocutor válido y autorizado para cada Parte. Los Líderes del Proyecto estarán autorizados para interactuar entre sí con el fin de hacer solicitudes verbales, sugerencias y cualquier otra comunicación relevante con el fin de mejorar los Servicios.
  25. Obligaciones del Personal
    1. RedCloud será única y exclusivamente responsable del cumplimiento de todas las obligaciones laborales, de seguridad social y fiscales que determinen las disposiciones legales que rigen durante la vigencia de este Acuerdo y que correspondan a RedCloud en su calidad de empleadores y/o empresarios de cualquier persona que esté involucrada en la prestación del Servicio a la Compañía.
  26. Respeto a los Derechos Humanos
    1. RedCloud se compromete a respetar los derechos humanos de las personas y sus empleados, evitando la discriminación, el acoso, el abuso o la intimidación en cualquiera de sus formas, en relación con: la Edad, el idioma o el origen; Nacionalidad o raza; Estado civil, género, embarazo; Enfermedades; Ideas, opiniones o expresión libre; Preferencias políticas o sexuales; Religión, condiciones de trabajo decentes; Condición social o económica; Capacidades físicas especiales; Cualquier otra circunstancia que viole la diversidad, la libertad o la dignidad de las personas.
    2. En caso de que la Compañía se percate de que los principios mencionados anteriormente no se están cumpliendo, puede notificar a RedCloud con recomendaciones.
    3. El Usuario es un tercero no relacionado e independiente de RedCloud; no está afiliado con RedCloud. El Usuario lleva a cabo su negocio de manera independiente mediante la fabricación, compra y/o posterior venta de Productos. Vende o revende los Productos en su propio nombre y asume todo el riesgo empresarial de su actividad de reventa de los Productos y el riesgo de insolvencia de sus clientes. RedCloud no ofrece ninguna representación o garantía en cuanto al funcionamiento y rendimiento de las obligaciones del Usuario.
    4. En caso de que alguna disposición de este Acuerdo sea declarada nula o no ejecutable por cualquier tribunal competente, dicha declaración no tendrá efecto sobre las disposiciones restantes de este Acuerdo. Dicha disposición nula o no ejecutable será reemplazada por una disposición válida y ejecutable que se acerque lo más posible al efecto económico deseado de dicha disposición nula o no ejecutable. Esto representa el acuerdo completo entre el Usuario y RedCloud con respecto a la prestación de los Servicios (junto con los Términos) y sustituye cualquier propuesta o representación previa, paralela, oral o escrita entre las partes. Todas las disposiciones que, a pesar de la terminación del Acuerdo, por su naturaleza deberán permanecer en vigencia, lo harán, incluidas, entre otras, las disposiciones relacionadas con la propiedad, la propiedad intelectual, las garantías y las responsabilidades. El incumplimiento de cualquier disposición específica por parte de cualquiera de las Partes, o la falta de actuar o tomar medidas contra la otra Parte en caso de incumplimiento por parte de cualquiera de las Partes, no se considerará como una renuncia a tal derecho.
    5. Los domicilios de las Partes mencionadas anteriormente son aquellos que las Partes constituyen para todos los efectos de este Acuerdo. Cualquiera de las Partes puede cambiar su domicilio a cualquier otro mediante previo aviso a la otra Parte especificando su nuevo domicilio y persona de contacto, pero dicho cambio no se considerará realizado hasta que el aviso notificando el cambio sea recibido efectivamente por la otra Parte.
 
Nigeria – Terms and Conditions of Use of the Marketplace
    1. General
      1. These Terms of Service (“Terms“) are a binding legal agreement between you and RedCloud (the “Contract”) that governs your use of the websites, applications for mobile devices, and other present of future offerings from RedCloud (collectively, the “Platform“). These Terms may be updated from time to time at the sole discretion of RedCloud. When used in these Terms, “RedCloud,” “we,” “us,” or “our” refers to the RedCloud entity with whom you are contracting and includes their successors and any person to whom rights have been assigned under this Contract.
      2. By accessing to the Platform, the User automatically adheres to the Terms which shall be strictly observed by the Users. These terms, including the subtitles below (which are deemed an integral part of this Terms), constitute a contract between any person (hereinafter, “User” or, in plural, “Users“) who wishes to access the Platform and/or use the Services described herein and enters into this Contract.
      3. Please read the Terms carefully before using the Marketplace. By creating an Account and accessing and using the Platform, the User accepts and acknowledges that the Terms are mandatory and binding. In case the User does not agree with the Terms, the User must refrain from using the Platform.
      4. The User agrees to use the Platform for lawful purposes, respecting the applicable laws and regulations and in no way shall use the Platform or its content for purposes contrary to the applicable law and regulations or morality or the policies of the Platform which may be issued or amended by RedCloud from time to time at its sole discretion, or in any other way that may affect its operation, security and/or information contained therein.
      5. Please print and keep a copy of this Contract for your records. RedCloud reserves the right to accept your adherence to these Terms and reserves the right to use its discretion in the exercise of its prerogatives in accordance with the law.
    2. About us
      1. Marketplace Technologies Nigeria Limited, trading as RedCloud, operates the Platform and provides the Services. RedCloud is registered in Nigeria under the number 1748448 and its registered office is located at the following address: 5 Shagamu Avenue Off Association Avenue, Ilupeju, Lagos State, Nigeria 100252.
      2. All notices relating to the Services herein provided, should be sent to the following address: nga.support@red101.com.
    3. Legal Capacity
      1. The Services offered by the Platform are available to those Users, whether human persons or representatives of legal entities, who have legal capacity to contract, that is, to acquire rights and incur in obligations. Services of the Platform may not be used by persons who do not have that capacity, minors or Users who have been suspended and / or disqualified by the Platform. By registering as a User, you declare under oath that you are a human person of legal age, with legal capacity to contract.
    4. Territory
      1. This Platform is available in the territory of Nigeria (when referring to Sellers) and/or where the store is located (when referring to Buyers) and is not intended to be accessed from any jurisdiction of any state, country, or territory other than the aforementioned. Neither us nor the Sellers make any representation or warranty that the Platform or any of the products are suitable or available for use, purchase, delivery, or sale in other locations.
    5. The Marketplace
      1. RedCloud provides a marketplace on its Platform (“the Marketplace”). The Marketplace is a B2B online intermediary services shopping platform that allows for: (i) purchase transactions between Users for ordering and paying for products online, including digital products (“Marketplace Services”), (ii) payment transactions between the Users, including the ability to send credits backed by funds held by Users on their Account as means of payment (“Payment Services”), (iii) accessibility and digitalisation of data of Users and their transactions using the Marketplace (“Data Services”), (iv) strategic marketing campaigns (“Marketing Services” and altogether, the “Services”). Transactions to be performed within the Marketplace are B2B and therefore are not aimed to connect Sellers with final consumers.
      2. RedCloud acts as a data controller regarding the processing of data of Users. RedCloud processes personal data in connection with sales and purchases made by Users (“Collected Data”) to provide Data Services and collect other data, figures and relevant information for the provision of Marketing Services (and other relevant Services). Users hereby consent to such collection and usage of data in accordance with these Terms and the Privacy Policy of the Platform. Please also refer to the Privacy Policy.
      3. Collected data may include, but is not limited to transactional data, behavioural data and payment data of Users.
      4. Collected Data may be used and enhanced for the purposes of internal reporting within RedCloud. Users hereby consent to such collection and usage of data in accordance with these Terms and the Privacy Policy of the Platform.
    6. Registration
      1. To use the Services of the Platform, Users must register by creating an access account and providing login name and password details, and by providing necessary information which may include name, email address, postal address, information related to the payment of the Services and any other information that may be reasonably required by us (“the Account“) and agreeing to these Terms. As part of the registration process, you will receive a PIN code or one time passcode (“OTP”) used for the verification of the User’s details, that will allow you to access the Services. All information provided by the Users shall be accurate and valid at all times and any change shall be immediately notified to us. The Account will allow the User to use the Platform and access the Services. Users will access their Account through a username, phone number or email address and a personal password to be chosen by the User. The Account is unique non-transferable. In the event that we detect different Accounts containing the same or related data, we may cancel, suspend or disable them. Additionally, any User who is verified to operate with more than one Account will be blocked and will no longer be able to use the Platform.
      2. In order to make payments for transactions on the Platform, Users must charge credit to their Account (as detailed below).
      3. The Account will allow the User to use the Services in conjunction with any other functionality that may be offered to the User in the future, subject to the terms and conditions set forth for each functionality.
      4. RedCloud may use reasonable efforts to verify the identity of the User and the data entered at the time of the registration. This may include the use of an OTP provided through the use of a mobile number (where the use of OTP is in place, the provision of a mobile number is mandatory). The mobile number is treated as personal data in line with these full terms and conditions. RedCloud is not responsible for the veracity or accuracy of the data provided by the Users. RedCloud reserves the right to request additional proof and/or data for the purpose of corroborating the data reported by the User, as well as suspend and/or temporarily or permanently disable those Users whose data could not be verified. Additionally, RedCloud reserves the right to suspend Users temporarily or permanently in case of breach of the Terms, as well as to reject requests for Transactions placed.
      5. When the User has provided the information detailed in 6.1 above, RedCloud may, in using reasonable efforts as described in 6.4 above, undertake a “KYC” (Know Your Company) process for which third-party services may be utilised to ensure the veracity of the information provided by the User. By agreeing to these Terms and Conditions, the Users agrees to RedCloud’s use of such third-party services for the KYC process.
      6. The Platform shall maintain the confidentiality of the data provided by Users for registration and Users agree to maintain the confidentiality of their name and password and any other Account’s settings. The User agrees to immediately notify us of any unauthorized use of their Account, and to hold the Platform harmless in the event that this causes any damage to us or to third parties.
    7. Marketplace Services
      1. The Seller must offer for sale products and promote the Services in the appropriate categories and subcategories and Buyers may purchase through the Marketplace products marketed directly by the Sellers (“the Products”). Descriptions of the Products may include descriptive texts, graphics, photographs and other contents and conditions relevant to the sale of the Products, provided that they do not violate any third-party rights, applicable law, provision of this Contract or RedCloud policies.
      2. The Seller must comply with all relevant regulatory obligations such as registrations, authorizations, permits and/or authorizations required by the applicable regulations for the Products and Services offered, as well as with any mandatory product information to be included in the relevant offers pursuant to applicable regulations. RedCloud shall be entitled to delete any offer that does not comply with legal requirements but has no obligation to check offers for admissibility.
      3. Sellers are responsible for adherence to local regulations when selling Products and must comply, as applicable, in not selling Products or imported Products that are restricted or prohibited under local laws and regulations. In agreeing to these Terms and Conditions, Sellers warrant that they shall so comply.
      4. Sellers are responsible for obtaining and maintaining the requisite licenses, as applicable, to sell their Products on the Platform. In agreeing to these Terms and Conditions, Sellers warrant that they hold the required licenses.
      5. In addition to these Terms, the Buyers agree by purchasing a Product to be bound by the terms and conditions of sale included in the publication displayed in the Marketplace, to the extent that such terms and conditions do not violate the applicable laws or policies of RedCloud. The offer to purchase a Product is irrevocable. Purchase offers will only be considered valid once they have been processed by the Marketplace and received by the Seller.
      6. Once the Buyer has selected the Products for purchase, such Products will be included in the Buyer´s shopping cart. At the end of the selection process, the Buyer must confirm his purchase and enter the place and method of delivery or pick-up, as offered by the Seller, and method of payment (“the Order”). After the Order is confirmed, it will be forwarded to the Seller for approval (who may accept the Order or modify the terms of the Order or reject the Order, at its sole discretion). Upon acceptance of the Order, the Marketplace will automatically inform the Buyer. The Products purchased through the Marketplace shall be subject to the dispatch and delivery conditions offered by the Seller chosen by the Buyer and available on the Marketplace and RedCloud will have no liability whatsoever regarding such dispatch and delivery or pick up, as applicable. In case of receipt of damaged or defective Products, the Buyer may make the corresponding claim to the Seller if the seller’s terms and/or applicable law allow for this.
      7. Upon an Order being made, the personal details of the Buyer will be shared with the Seller in order to and to the extent necessary to enable fulfilment of the Order.
      8. The form of payment for Products purchased on the Site may be performed by: (i) credit or debit card, (ii) the payment platform “RedPay” or (iii) such other means of payment as may be enabled by the Marketplace and accepted by Sellers in the future.
      9. The Buyer shall pay the price approved by the Seller when accepting the Order and, if applicable, the shipping and delivery costs. The Seller shall issue the corresponding invoice to the Buyer, this being the only invoicing method available for purchases through the Marketplace.
      10. By accepting these Terms, the Buyer acknowledges and agrees that the purchase and sale transaction it enters into with the Seller may be governed by additional conditions that will be provided by the Seller from time to time. The Marketplace and RedCloud will not be liable for any aspect of the transaction between the Buyer and the Seller, including but not limited to the terms agreed between the Buyer and the Seller, the payment by the Buyer and/or any defect in the Products or Services provided by the Seller.
      11. Acceptance of orders on the Marketplace:
        1. All Orders are subject to the condition precedent that the Seller validates the transaction and accepts it. To validate the transaction, Seller shall verify: (a) that it has, at the time of receipt of the Order by the Buyer, the Products in stock; (b) that it validates and accepts the amount and means of payment offered by the Buyer; and (c) any other aspect relating to the Order (including but not limited to delivery method). If an Order includes Products from different Sellers, such Order will be divided in sub-orders and each of the sub-orders redirected to the relevant Seller, who will proceed with the abovementioned acceptance. Buyers acknowledge and agree that Orders might only be partially accepted or rejected in full from time to time.
        2. The Buyer acknowledges and agrees that Orders may be rejected and/or suspended in certain cases even after the Order had been accepted. In this regard, the Marketplace may not be able to proceed with certain processing, in the following cases, without limitation: (a) when the Product ordered is not available; (b) when the payment service provider does not authorize payment of the price or payment has not been made for any reason whatsoever (if such means of payment is available on the Marketplace); or (c) when Buyers do not meet the ordering criteria specified in these Terms. In addition, in the event of force majeure or logistical difficulties in shipping to certain areas, the Marketplace and the Seller reserve the right to cancel an Order and/or apply exceptional terms and conditions. The Marketplace will automatically give notice of cancellation and/or application of exceptional terms and conditions as soon as possible after an Order is placed. Seller shall be independently and entirely responsible for the refund, cancellation and post-sales support of any Products or Services sold within the Marketplace.
      12. Fees on the Marketplace:
        1. For each Order, RedCloud will charge a fee, calculated based on the gross cost of the order (“the Fee“). As per the separate Commercial Agreement certain Sellers may agree to sponsor the fees of some or all Buyers in certain territories subject to additional terms. The applicable Fee will be billed on a monthly basis to the corresponding Seller.
        2. In addition to the Fee, RedCloud will charge VAT and any other local taxes that may apply.
        3. The Price includes costs of implementation and professional technical and business support. The Price includes fees for the use of the payment services covering cash digitization. It does not include any third-party payment processing fees such as Visa/Amex, etc.
      13. Invoicing of Fees:
        1. RedCloud will invoice the Company on the last day of each month for Marketplace Services performed within the course of that month. RedCloud’s payment terms are that its invoices are payable when received by you. The Company agrees to pay RedCloud’s invoices when it receives them.
        2. If the invoice is not paid within 30 days of the date of the invoice, interest will accrue monthly on the amount due at a rate 4%.
    8. Data and Marketing Services
      1. Collected Data may be used and enhanced for commercial purposes, including the provision of Collected Data to other Users or third-parties, whether or not for consideration. Where such commercial purposes involve the Collected Data (whether enhanced or otherwise) being provided directly to the User whose personal information forms the underlying data, it may be non-anonymised. Where commercial purposes involve the Collected Data (whether enhanced or otherwise) being provided to a User or third-party other than the User whose personal data forms the, or part of the, underlying data, it shall be anonymised and/or aggregated. For the avoidance of doubt, where Collected Data is anonymised and/or aggregated, the data of a single, identifiable User cannot be discerned from such.
      2. Data in relation to a User that is non-confidential and available in line with open commerce, including, but not limited to, data that the User provides openly on the Marketplace, may be enhanced, summarised and/or shared with other Users.
      3. RedCloud may use the personal data to contact a User through mobile, WhatsApp, email or other form of social media, including to contact the User with marketing materials. This may include, but is not limited to, the provision of personalised offers, promotions, advertisements or survey requests. A User may opt-out of being contacted by RedCloud through any type of medium.
    9. Payment Services
      1. Users may deposit money into their Account (“the Credit“) as a result of (i) collection transactions made through the Platform and (ii) through enabled debit cards and extra-bank collection networks or using any other means that may be indicated by the Platform in due course . The Credit will be credited to the User’s Account in accordance with the rates, taxes and discounts applicable and the mechanisms and rules determined by the Platform accepted by the User through these Terms. The User may use the Credit to perform the Transactions described in accordance with the provisions of these Terms.
      2. RedCloud acts as a Service provider through the Platform installed on your mobile device or through our Website. By initiating and performing a Transaction, you appoint RedCloud as your agent granting us an irrevocable mandate to dispose on your behalf of the Credit in your Account and transfer it to the Account of the designated recipient in accordance with your instructions. A financial institution designated for such purposes will hold the funds on your behalf until they are transferred to the recipient’s bank account, in the meantime you may not withdraw such funds or send such funds to any other recipient unless the initial Transaction is concluded.
      3. Upon receipt of a Top-Up request, you will issue a Transaction execution order, whereby you consent to RedCloud executing this and any other Transaction as may be necessary on your behalf. For this purpose, you shall provide the recipient’s Account information and such additional data as may be requested by the Platform. You hereby agree that all Transactions are subject to the availability of funds, which will be verified and confirmed by us.
      4. RedCloud shall have no obligation to execute the Transaction requested if you do not have sufficient Credit in your Account. Once we process your request, you will receive a Transaction confirmation receipt. This receipt is not equivalent to the receipt of the Credit in the receiving Account, which may take up to 48 business hours.
      5. RedCloud will not allow you to transfer Credit from your account in an amount exceeding the amount of money deposited and reflected in such Account.
      6. No Transaction may be cancelled after having been ordered by you unless authorized by RedCloud in accordance with the provisions herein contained. In any case of reversal of the Transaction, including due to any refunds agreed to be made between Users (the method of which shall be determined between the Users themselves), the Fees paid for the Service will not be refunded.
      7. RedCloud will use its best efforts to ensure that the Transaction is executed on the next business day following the date of receipt of your Transaction order, provided that the recipient has an Account in the Platform. If the recipient does not have an Account, the Transaction will be executed as soon as an Account is opened or on the date RedCloud receives the recipient’s bank account details.
      8. For each Transaction, RedCloud will charge a fee at the rate set forth in the Platform (the “Fee“), as published from time to time. The applicable Fee will be deducted from your Account, along with any applicable taxes related to this Fee, upon ordering each Transaction, and the new Account balance will appear on your Account screen and will be communicated to the User via a message automatically sent by the Platform.
      9. Upon closure of an Account for any reason, we are authorized to use the contact information you have provided to us to attempt to send you, or the recipient indicated by you, the funds equivalent to the Credit remaining in your Account. In the event that such information is incorrect or out of date, and/or we are unable to locate you to provide us with the information of the recipient to whom you wish to send the Credit, you acknowledge that you may lose both the credits and the funds corresponding to the Credit that is in your Account.
    10. Means of Payment
      1. The Platform has different suppliers in charge of the payment service. They are responsible for carrying out the Transactions. If the User shared their credit or debit card information in the Platform and makes it available to our supplier or entity responsible for the collection, authorizes the latter to debit from your credit or debit card charges incurred in the Account that the User registered on the Platform.
      2. The Users expressly consent to the use of credit available in the RedPay wallet as one of the methods for the payment of the Products or Services offered.
      3. Users may deposit money into their Account (“Credit”) as a result of (i) transactions made through the Marketplace and (ii) through enabled debit cards and extra-bank collection networks or using any other means that may be indicated by the Marketplace in due course . The Credit will be credited to the User’s Account in accordance with the rates, taxes and discounts applicable and the mechanisms and rules determined by RedCloud and accepted by the User through these Terms. The User may use the Credit to perform the transactions described in accordance with the provisions of these Terms.
      4. The Marketplace may offer and implement additional payment services, for which separate terms and conditions apply.
      5. The User agrees to pay all bills and charges due by him/her. Payments that may eventually be made through the Platform to charge credit to the Account, may be made online using credit cards and debit cards enabled or using any other means of payment that may be indicated in due course.
    11. Applicable Taxes
      1. It shall be the User’s sole responsibility to determine which taxes, if any, apply to the sale of Products, and it is the User’s sole responsibility to remit the correct tax to the appropriate tax authority. The fees payable by you to RedCloud under this Contract do not include any value added tax, or any other indirect and direct taxes arising as a result of or in connection with the Transactions contemplated hereby. Users agree to pay all applicable taxes to the relevant authorities. To the extent required by such tax authority, RedCloud may make withholding to cover such taxes and pay such taxes to the appropriate tax authority. The User shall indemnify and hold RedCloud harmless for any claims that may be made by the tax authorities with respect to applicable taxes, debts and/or interest related to sale and purchase of Products and Services carried out by the Users.
    12. Assignment of Rights
      1. The User may not assign, transfer, delegate or dispose of the rights or obligations under this Agreement, in whole or in part without RedCloud consent in writing. RedCloud may assign, transfer, delegate or dispose of the rights or obligations under this Agreement or its contractual position, in whole or in part, for which the User hereby gives his consent in advance to perform such actions.
    13. Trade marks
      1. RedCloud grants the corresponding license of its trade name and logo to the User, so that during the Term RedCloud may use them in the manner it deems convenient to advertise and communicate the Marketplace and the participation of users in the Marketplace.
    14. Compliance with Contractual Provisions
      1. The User shall comply with all the Terms set forth in this Contract and any other instructions set forth by RedCloud under the contractual relationship herein established, e.g. RedCloud’s policies. In addition, the User agrees: (i) not to violate any applicable law, statute, contract or regulation, (ii) not to infringe any third party rights or any of RedCloud’s rights, including copyright, patent, trademark, trade secret or other intellectual property and/or privacy rights, (iii) not to engage in verbal or other conduct that is characterized as obscene, defamatory, threatening or constitutes harassment, (iv) not to use the Services to receive funds as consideration for sexually oriented or obscene materials or services; (v) not to use the Services to receive funds for drug trafficking, controlled or illegal substances, steroids or prescription drugs, (vi) not to use the Services to launder money derived from illegal activities, (vii) not to provide false, inaccurate or misleading information, (viii) not to send or receive potentially fraudulent, illegitimate or illegal funds, (ix) not to refuse to cooperate in an investigation or provide confirmation of Users’ identity or any information the Users provided to us, (x) not to attempt to take any action that results in unlawful enrichment, (xi) not to access the Marketplace from a country in which the Services are not approved, (xii) not to disclose or distribute another User’s information to a third party, (xiii) not to use third party’s information for marketing purposes unless you receive such User’s explicit consent to do so.
      2. If we have reason to believe that you have engaged in forbidden activities, we may engage in actions necessary to protect RedCloud, another User, a third party or you from setbacks, claims, fees, fines, penalties and any other liability. The actions we may take include but are not limited to the following: block, limit, close or terminate your right to use or dispose of your Credit and/ or your Account in full or for any particular Transaction. We may also refuse to provide our Services in the future, withhold your Credit for as long as necessary to protect us and others against the risk of financial loss and take legal action against you. If we proceed with the closure of your Account, we will provide you with notice of the Account closure and, if possible, the reasons for the closure, along with the procedure for withdrawing the funds corresponding to any Credit your Account reflects.
    15. Intellectual Property
      1. The mere access to the Platform does not give the User any right of use over the content of the Platform (whether past, current, or future content). RedCloud is the owner, or the licensee of all intellectual property rights generated in the Platform and from the Services and any material published in connection with them except those which may be owned exclusively by Sellers and Buyers.
      2. The contents displayed on the Platform may not, in any way, be copied, distributed, reproduced or disclosed, by any means, under penalty of civil and/or criminal liability.
      3. The User may not rent, lease or transfer any rights to use the software or the Marketplace to any third party. If any Users fail to comply with RedCloud’s instructions, implementation and usage requirements, such Users will be liable for all resulting damages suffered by the User itself, RedCloud and any third parties. Users agree not to alter, reproduce, adapt, distribute, display, publish, translate, disassemble, decompile or otherwise attempt to create any source code derived from the software, the Services and/or the Platform. RedCloud does not own, control or have any responsibility or liability for any third-party software applications a User might choose to use on the Platform and/or in connection with the Services. The RedCloud name and logo, and all related logos of our products and services, are either the property of RedCloud or registered trademarks of RedCloud or its licensor. In addition, all graphics, button icons and scripts are protected by copyrights owned by RedCloud, trademarks and/or trade secrets of RedCloud. Users may not copy, imitate, modify, alter or use them without our prior written consent.
      4. The Users warrant that they have all relevant rights to publish the Products, its trademarks, logos and product claims in the Marketplace. By uploading the information, images, videos, documentation and any other materials to the Marketplace, the Users authorize RedCloud and its affiliated companies to use, publish, and/or reproduce the images and photographs included in its publications, its trade name, trademarks, advertising phrases, logos, designs, drawings, images and any other distinctive sign that identifies the Users and its products or services (“the Users’ Trademark“) and information regarding its products or services (“Product Information“) within the Marketplace and for communication and advertising purposes in any communications, announcements or campaign issued by RedCloud in any available media outlets. It shall be the User’s obligation to include on the Marketplace the Product Information, including those warnings required by the applicable legislation for the sale or advertising of the Products and Services. The Users grant RedCloud and its related companies a free, irrevocable, non-exclusive, international and time unlimited authorization to use, publish, reproduce and/or adapt the images, photographs, the Users’ Trademark, and the Product Information in order to be used in all RedCloud sites and applications, social networks and/or in any mass and non-mass communication media, including, without limitation, platforms and any other digital or physical media that RedCloud deems appropriate.
      5. The Users declare and guarantee that they are the owners or licensees of the necessary rights over the images, photographs contained in its publications, over the Users’ Trademarks, as well as over the Product Information, and that it has the necessary rights and powers to grant the authorization detailed in this clause, being exclusively liable for any infringement of third parties’ rights or for any inconsistencies or inaccuracies in the Product Information.
    16. Limitation of Liability
      1. Given that the Marketplace is a mere intermediary platform which connects Buyer and Seller, it does not participate in the transactions carried out between them. Consequently, the Seller will be responsible for all the obligations and tax charges applicable to the sale of its Products and/or Services, and the Marketplace and/or RedCloud cannot be held liable for any kind of non-compliance.
      2. It is the Seller who uses the Marketplace and publishes their Products and Services, and consequently defines the conditions of their offer (product or service offered, price, description, photos, quality, quantity, completeness, etc.). In all cases, Sellers will be responsible for the existence, quality, quantity, integrity and/or legitimacy of the Products and/or Services they offer and will hold the Marketplace and/or RedCloud harmless for any actions or claims that may arise because of an offer or transaction.
      3. The Platform is subject to possible interruption problems, technical failures, and temporary unavailability of the Services. We shall not be liable for damages of any nature whatsoever that may occur due to the unavailability or lack of continuity of operations of the Platform although RedCloud will make commercially reasonable efforts to ensure that Orders are processed in a timely manner, but in no way guarantees the amount of time necessary to complete their processing.
      4. We will use our commercially reasonable efforts to ensure the security and reliability of the Platform and the content available on the Platform by using various controls to detect, prevent and combat malicious activity. However, RedCloud shall not be liable for any damages arising from the actions of third parties, for the improper conduct of the User, or for any fact that is somehow outside our control.
      5. RedCloud shall not be liable for the User’s browsing on external websites, even if they were referenced on the Platform, so it is a duty of the User to read the terms and conditions, Privacy Policy and Cookies Policy (if applicable) of the website accessed, being the User responsible for any damage or injury suffered in relation to such third-party sites. RedCloud shall not be liable for orders, instructions, requests and/or wrong or incomplete Orders caused by erroneous data of the recipient’s Account, relevant information of the recipient or the payment transaction, provided by the User.
      6. RedCloud shall not be liable in any way for the fulfillment of the obligations assumed by Users with third parties in relation to the Services and/or Transactions to be made or received through the Platform. The User acknowledges and agrees that when making Transactions with other Users or third parties, the User is acting freely and at their own risk and responsibility. In any case, the Platform shall not be liable for direct damage, loss of profits, or any other damage and/or injury suffered by the User, due to Transactions made through the Platform. The Platform shall not be responsible for verifying the causes, amount or any other circumstance relating to Transactions or to the veracity of the personal data entered by the User. In the event that one or more User or any third party initiate any claim or legal action against other User based on Transactions performed between them, each and every one of the users involved in such claims or actions waive the Platform and its directors, managers, employees, agents, operators, representatives and attorneys from liability.
      7. The Platform shall not be liable for the User’s browsing on external websites, even if they were referenced in the Platform, so it is a duty of the User to read the Terms and Conditions and Privacy Policy of the website accessed, being the User responsible for any damage or injury suffered in relation to such third-party sites. The Platform shall not be liable for orders, instructions, requests and/or wrong or incomplete Transactions caused by erroneous data of the recipient’s Account, relevant information of the recipient or the payment transaction, provided by the User.
      8. In any case, RedCloud shall not be liable for direct or consequential damages, loss of profits, or any other damage and/or injury suffered by the User, due to the sale and purchase of Products made through the Marketplace. Neither the Platform nor RedCloud shall be responsible for verifying the causes, amount or any other circumstance relating to the Services or to the veracity of the personal data entered by the User. In the event that one or more User or any third party initiate any claim or legal action against other User based on the provision of the Services, each and every one of the users involved in such claims or actions waive RedCloud and its directors, managers, employees, agents, operators, representatives and attorneys from liability.
      9. The Seller must indemnify RedCloud, as well as its directors, managers, employees, agents, operators, representatives and attorneys, in the event of any loss or damage (including legal costs) caused by any claim formulated or presented by any third party based on (i) contents that the Seller gives, offers, publishes or transmits through the Services and/or the sale of the Products;(ii) the use of the Services or acquisition of a Product by the Buyer; or (iii) the non-compliance with these Terms by the User.
      10. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL REDCLOUD’S LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED IN THE AGGREGATE 100% OF THE FEES PAID IN CONNECTION WITH THE RELEVANT TRANSACTION WHICH GAVE RISE TO THE DISPUTE.
    17. Confidentiality
      1. The Parties agree to treat as confidential all information provided by either Party, as well as all information contained herein, and to prevent the disclosure of such information to third parties, either in whole or in part, without the prior written consent of the other Party (the “Confidential Information“).
      2. The Parties understand that information shall not be deemed to be confidential or proprietary to a Party when: (i) the information provided had already been known to the other Party; (ii) the information provided had already been in the public domain at the time it was disclosed by a Party, unless this occurs as a consequence of a disclosure made by such Party in breach of this Agreement or the Terms; or (iii) the Party had received the information from third parties who were under no obligation of confidentiality in relation to such information. It is further provided that either Party shall have the right to disclose the Confidential Information when so required under applicable law, or when strictly necessary in order to obtain any necessary governmental approval or to exercise the defence of its rights, provided that such Party notifies the other Party immediately of such requirement and allows the participation of such Party in the process in order to control such disclosure.
      3. The Parties are prohibited from obtaining confidential information by means of reverse engineering. “Reverse Engineering” shall mean all actions, including observing, testing, examining, reassembling and, if necessary, reassembling, with the aim of obtaining Confidential Information. This prohibition ends as soon as the product or the object on which the Confidential Information is based has been made publicly available through no fault of the Parties.
      4. The confidentiality obligation agreed in this Agreement shall remain in force even after the termination of this Agreement, whatever the cause of such termination may be, for a term of 5 (five) years or a longer term if the Confidential Information shall continue to be confidential or secret, counted as from the date of termination of the Agreement. In the case of Personal Data, the confidentiality obligation shall remain in force in perpetuity.
    18. Termination
      1. RedCloud and the User may, at any time during the term of this Contract, terminate it without cause by 30 days’ prior written notice, which will result in the closure of the User’s Account and termination of the User’s subscription, if applicable, but will not suspend the fulfillment of all Services requested already authorized by the User at the time of giving notice of termination. In this regard, the User shall remain liable for any Order, cost or any other activity incurred and for which the User is personally, directly or indirectly responsible prior to the time of closing the Account. For the purposes of exercising this power of termination, it is necessary that the party seeking termination of the Contract does not owe the other User or third parties involved in the Transactions the fulfillment of any obligation.
      2. The User shall pay any amount it remains liable for under this Agreement within 30 days of termination of this Contract. Any amount not paid within the 30 days of the date of termination, interest will accrue monthly on the amount due at a rate 4%.
      3. In addition, the Platform may, in case of breach by the User of the Terms or any other applicable law, or inactivity of the User on the Platform for a period longer than 12 (twelve) months, terminate the provision of Services without any prior notice, making statutory reserve of the right to claim damages that such breach has caused.
      4. All notices, requests, summons and other communications under this Agreement shall be made in writing and by e-mail to the addresses and e-mail address(es) set forth below: contract-notices@redcloudtechnology.com
    19. General Provisions
      1. You agree that you are the owner of the mobile device, phone numbers and email addresses (and any other relevant device or account) with which you have registered in the Platform to use the Services, and you agree that you will inform us immediately by calling our call center if you change your phone number or other details or lose your device. You are responsible and shall hold RedCloud harmless from any Transaction or activity performed by you regarding your relationship with your telecommunications service provider or any other third party in connection with your use of the Services through your devices, such as charges for SMS or cell phone services.
      2. RedCloud reserves the right to modify, amend or update the Terms at any time in its sole discretion. Modifications shall be posted on the Platform and shall become effective on the day immediately following the day of posting. Such modifications shall be communicated by RedCloud to Users through the publication of an amended version of the Terms on the Platform. Any User who does not agree with the modifications made may immediately request the cancellation of the Account and must refrain from using the Platform. In the event that any User continues to use the Platform, such User will be deemed to have accepted the modified, amended or updated Terms.
      3. In the event that any provision of this Contract is declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining provisions of this Contract. Such void or unenforceable provision shall be replaced with a valid and enforceable provision that comes as close as possible to the desired economic effect of such void or unenforceable. This Contract represents the entire agreement between the User and RedCloud with respect to the Marketplace and the provision of the Services (together with all other guidelines, directives and policies issued by RedCloud and related to the Platform or the Services) and supersedes any prior, parallel, oral or written proposals or representations between the parties. All provisions which, notwithstanding termination of the Contract or closure of your Account, by their nature shall remain in effect, will do so, including provisions related to the suspension of your Account and rights to use the Services or any part thereof, including, without limitation, provisions related to ownership, intellectual property, warranties and liabilities. The breach of any specific provision by either party, or the failure to act or take action against the other party in the event of a breach by either party, shall not be deemed as a waiver of such right.
      4. The User may not assign, transfer, delegate or dispose of the rights or obligations under this Contract, in whole or in part. RedCloud may assign, transfer, delegate or dispose of the rights or obligations under this Contract or its contractual position, in whole or in part, for which the User hereby gives his consent in advance to perform such actions.
      5. The Sellers are third parties unrelated and independent from RedCloud; they are not affiliated with RedCloud. They conduct their business independently by the manufacturing, purchase and/or subsequent sale of Products; they sale or resale the Products in their own name and bear the entire entrepreneurial risk of their activity on the Marketplace and bear the risk of insolvency of the respective Buyers of any Products or Services. RedCloud makes no representation or warranty as to the operation and performance of the Seller, as to the performance of any obligations assumed by the Buyers to third parties (including but not limited to Sellers) or as to any obligations assumed by such third parties to Buyers in connection with any sale or purchase of Products made on the Marketplace and/or any payments made thereon.
      6. The User’s acceptance of these Terms and any use of the Platform by User does not create – and shall not be construed to create – any partnership, joint venture, employment, agency, distributorship, franchise, or agency relationship between the respective User and RedCloud.
    20. Cookies
      1. The Platform may use a tracking system using “cookies”, so that access to information, when moving from page to page, is done more quickly. It also helps in some cases to identify Users, without the need to ask them for their password again and again. These cookies are small files sent by the visited page and are stored on the hard disk of the computer, occupying little space. Users are informed that by using their browser options they can limit or restrict the hosting of these “cookies” as they wish, although it is not advisable to restrict them completely. The system may collect information about your preferences and interests. In the event that this occurs, the information will be used exclusively for statistical purposes to improve the services provided on the Platform.
    21. Data Privacy
      1. In order to use the Platform efficiently and securely, Users must provide certain information, including their name and surname, e-mail account, telephone, billing information, without which it would be impossible to provide the Services. Therefore, it is required that the information provided is true and accurate. The personal information that Users enter on the Platform is completely confidential and we will do our best to protect their privacy.
      2. RedCloud uses the services of third-party payment service providers. When Users enter details onto the Platform in order to undertake Transactions, such as data and numbers corresponding to credit cards (“Payment Data”), such Payment Data is not captured, held or otherwise stored by RedCloud and the relevant third-party payment service provider shall be responsible for the processing of the Payment Data.
      3. The User may exercise their rights of access, rectification or deletion, and request exclusion in accordance with the provisions of the applicable regulations on the subject by sending an email to the help center. The Platform has adopted the security levels of protection of personal data legally required and has installed all the technical means and measures at its disposal to prevent the loss, misuse, alteration, unauthorized access and theft of personal data. Where RedCloud is required to continue to hold any Personal Data following a User’s exercise of their rights under this clause, including as required by any applicable statute or legislation or otherwise, RedCloud shall only hold Personal Data to the minimum extent and for the minimum term required and shall inform the User, upon requested of such Personal Data retention.

    22. Governing Law and Jurisdiction
      1. These Terms, the Platform usage and the provision of the Services are governed by the laws of Nigeria. In the event of a claim or dispute arising out of these Terms and/or your use of the Marketplace or the Services, you agree that the courts of Nigeria shall have exclusive jurisdiction over such claims or disputes, without prejudice to your rights under applicable law.
    23. Customer Service
      1. If you have any questions or complaints about these Terms, or if you need help with the Marketplace or the Services, we are always here to help you and resolve any disputes amicably. You can contact us every day of the year, by the means listed below. By email: nga.support@red101.com
    24. Project Leader
      1. For implementation purposes, each Party shall designate a person (the “Project Leader”) who will serve as valid and authorized interlocutor for each Party. The Project Leaders will be authorized to interact between them in order to make verbal requests, suggestions and any other relevant communication for the purposes of improving the Services.
    25. Staff Obligations
      1. RedCloud will be solely and limited to responsibility for compliance with all labor, social security and tax obligations that determine the legal provisions that govern during the validity of this Agreement and that correspond to RedCloud in its capacity as employers and / or entrepreneurs of any person who is involved in the provision of the Service to the Company.
    26. Respect for Human Rights
      1. RedCloud is committed to respecting the human rights of people and their employees, avoiding discrimination, harassment, abuse or intimidation in any of its forms, in relation to: Age, language or origin; Nationality or race; Marital status, gender, pregnancy; Diseases; Ideas, opinions or free expression; Political or sexual preferences; Religion, decent working conditions; Social or economic condition; Special physical capabilities; Any other circumstance that violates the diversity, freedom or dignity of the people.
      2. In the event that the Company becomes aware that the aforementioned principles are not being met, it may notify RedCloud with recommendations.
      3. The User is a third party unrelated and independent from RedCloud; it is not affiliated with RedCloud. The User conducts its business independently by the manufacturing, purchase and/or subsequent sale of Products. It sells or resale the Products in their own name and bear the entire entrepreneurial risk of their activity of resale of the Products and bear the risk of insolvency of their customers. RedCloud makes no representation or warranty as to the operation and performance of the obligations of the User.
      4. In the event that any provision of this Agreement is declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining provisions of this Agreement. Such void or unenforceable provision shall be replaced with a valid and enforceable provision that comes as close as possible to the desired economic effect of such void or unenforceable. This represents the entire Agreement between the User and RedCloud with respect to the provision of the Services (together with the Terms) and supersedes any prior, parallel, oral or written proposals or representations between the parties. All provisions which, notwithstanding termination of the Agreement, by their nature shall remain in effect, will do so, including, without limitation, provisions related to ownership, intellectual property, warranties and liabilities. The breach of any specific provision by either Party, or the failure to act or take action against the other Party in the event of a breach by either Party, shall not be deemed as a waiver of such right.
      5. The domiciles of the Parties abovementioned above are those that the Parties constitute for all purposes of this Agreement. Either Party may change its domicile to any other by giving prior notice to the other Party specifying its new domicile and contact person, but such change shall not be deemed to have occurred until the notice notifying the change is actually received by the other Party.
US – Terms and Conditions of Use of the Marketplace

These Terms of Service are effective as of 30 August 2024. The previous amendment to these Terms of Service was effective as of 30 August 2024.

  1. General
    1. These Terms of Service (“Terms”) are a binding legal agreement between you (“You,” “Your” or “User”) and RedCloud that govern your use of RedCloud’s website(s), applications for mobile devices, digital offerings, services and any other present or future services or offerings from RedCloud, and the Marketplace (defined below) (collectively, the “Platform”). These Terms may be amended or supplemented from time to time at RedCloud’s sole discretion. When used in these Terms, “RedCloud,” “we,” “us” or “our” refers to RedCloud Technologies Inc. and includes their successors and any person to whom rights have been assigned by RedCloud under these Terms. By using the Platform, you acknowledge that you are a human person of legal age with the legal capacity to enter into a contract and agree to comply with all provisions of these Terms.
    2. THESE TERMS CONTAIN PROVISIONS THAT GOVERN HOW DISPUTES BETWEEN YOU AND REDCLOUD ARE RESOLVED. IT ALSO INCLUDES AN AGREEMENT TO ARBITRATE THAT WILL, WITH LIMITED EXCEPTION, REQUIRE YOU TO SUBMIT CLAIMS YOU HAVE AGAINST REDCLOUD OR ITS AGENTS TO BINDING AND FINAL ARBITRATION UNLESS YOU CHOOSE TO OPT OUT OF ARBITRATION IN ACCORDANCE WITH THE INSTRUCTIONS PROVIDED HEREIN. BY ACCESSING OR USING THE PLATFORM, YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS OR RELIEF AGAINST REDCLOUD OR ITS AGENTS AS AN INDIVIDUAL PLAINTIFF (AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PROCEEDING).
  2. About RedCloud
    1. RedCloud owns and operates Red101usa.com (the “Marketplace” or “Platform”). On the Marketplace, Users who are brands (“Brands”) may offer their products for purchase by Users who are retailers (“Retailers”). RedCloud is not a party to any contracts for the sale of products between Brands and Retailers who use the Platform.
  3. Platform Territory
    1. The Platform is available in the United States of America and is intended to be accessed by Users established in the United States of America. The Platform is not available to Users established in any other jurisdiction. RedCloud makes no representation or warranty that the Platform or any of the products made available for purchase on the Platform are suitable or available for use, purchase, delivery or sale in any territory other than the United States of America.
  4. Using the Platform
    1. By using or accessing the Platform, you warrant and represent that you will comply with these Terms, all RedCloud policies and all applicable rules, regulations and laws (collectively, “Applicable Laws”), including, with respect to the sale, advertisement or purchase of products, all applicable (i) mandatory disclosure and reporting requirements; (ii) licenses you are required to obtain and/or maintain; (iii) product testing obligations and (iv) product labeling and packaging obligations. You will not:
      • use the Platform if you do not have the capacity to enter into a legally binding contract (including if you are not at least 18 years old) or are otherwise prohibited from using the Platform by Applicable Laws;
      • use the Platform if your access to the Platform is suspended or canceled by RedCloud;
      • violate or circumvent, attempt to violate or circumvent, or cause any third party to violate or circumvent any Applicable Laws, third-party rights or RedCloud policies or systems;
      • misappropriate or infringe upon the intellectual property rights that belong or are licensed to RedCloud or any other User or third party;
      • violate the rights of privacy or publicity of any third party;
      • engage in verbal or other conduct that is characterized as obscene, defamatory, threatening or constitutes harassment;
      • fail to pay for products purchased by you or fail to deliver products sold by you;
      • sell, advertise or purchase products, or use the Platform, without all permissions, authorizations, consents or permits required by a third party or Applicable Laws;
      • sell, advertise or purchase products that constitute “white label products,” including products produced by one company that are rebranded and sold under the name of another company;
      • sell, advertise or purchase products in violation of Applicable Laws;
      • sell or advertise products that a manufacturer or government authority has recalled if the sale of the product is prohibited by Applicable Laws or poses a health or safety hazard as specified by a government authority;
      • sell, advertise or purchase products that are counterfeit, fake or fraudulent;
      • sell or advertise products that are not in stock, unless the date when such products will be restocked is provided and RedCloud approves such sale or advertisement in writing;
      • influence, or attempt to influence, Users to purchase products sold on the Marketplace outside of the Marketplace or otherwise attempt to circumvent the payment of any fees owed to RedCloud;
      • allow any third party to access your Account without our consent;
      • share your Account (defined below) credentials with any third party;
      • collect, share or use information about Users without consent;
      • copy, distribute, reproduce or disclose any content originating on the Platform without RedCloud’s prior written consent;
      • publish any content to the Platform that is inappropriate or otherwise in violation of these Terms or our policies (including inaccurate, illegal, defamatory or libelous content);
      • interfere or attempt to interfere with the operation of the Platform;
      • alter, reproduce, adapt, distribute, display, publish, translate, reverse engineer, decompile or disassemble any aspect of the Platform or RedCloud IP (defined below), or otherwise attempt to derive source code or other trade secrets therein;
      • use the Platform to receive funds for drug trafficking, controlled or illegal substances, steroids or prescription drugs;
      • use the Platform to launder money derived from illegal activities;
      • provide false, inaccurate or misleading information to RedCloud or other Users;
      • send or receive potentially fraudulent, illegitimate or illegal funds;
      • refuse to cooperate in an investigation or provide confirmation of your identity or any information you provide to us;
      • attempt to take any action that results in unlawful enrichment;
      • attempt to access or use the Platform or any of its features from any jurisdiction where such access or use is prohibited; or
      • use other User’s information for marketing purposes without such User’s prior written consent.
    2. If we believe that you have failed to comply with these Terms in any way, we may, without limiting any other remedies and in our sole discretion, restrict, suspend or permanently disable your access to and/or use of the Platform, remove content you post on the Platform, de-list products you offer for sale on the Marketplace, cancel your order(s) and take any other actions we deem necessary in response to such non-compliance. We will make commercially reasonable efforts to notify you of any such actions and provide a reason for such actions.
  5. The Marketplace
    1. The Marketplace is a B2B online shopping platform that allows transactions between Users who are brands and retailers for purchasing products online (including digital products), (the “Marketplace Services”). Transactions performed within the Marketplace are “business-to-business” and are not intended to connect Users with final consumers.
  6. Accounts
    1. To use the Platform, Users must register by creating an account on the Platform (an “Account”), choosing a username and password, and providing other information which may include your legal name, email address, mailing address, payment information and any other information that we may reasonably require. Users will access their Account by entering their username, phone number or email address and password. The Account is unique to you and may not be transferred. Users agree to maintain the confidentiality of their Account username, password and any other Account information, and immediately notify us of any unauthorized use of their Account.
    2. RedCloud may use reasonable efforts to verify the identity of Users and information provided by Users to RedCloud, including the use of third-party services to verify such information. By using the Platform, you consent to RedCloud’s use of such third-party service providers to verify User information. RedCloud is not responsible for the accuracy of information it receives from Users. RedCloud reserves the right to request additional information to corroborate any information provided by Users and limit, suspend and/or permanently disable access to the Platform for Users whose information cannot be verified.
    3. By using the Platform, you consent to RedCloud’s use of third-party service providers to perform any of the functions described in paragraph 6.2 above and any other services or functions of the Platform, and agree to any be bound to the terms and conditions of such third parties as necessary for the provision of the Marketplace Services. Your failure to accept and adhere to such third-party terms and conditions may result in your inability to use some or all of the Marketplace Services.
  7. Marketplace Services
    1. Brands must list products offered for sale on the Marketplace within the appropriate categories and provide accurate descriptions of the products. Product descriptions may include descriptive texts, graphics, photographs and other content relevant to such product.
    2. Orders
      1. By using the Platform, you acknowledge that you are solely responsible for any products you advertise, sell on, or purchase from the Marketplace. Where you find or suspect that any product you have advertised or sold on the Marketplace is counterfeit, fake or otherwise fraudulent, you agree to immediately notify RedCloud at us-support@red101.com and remove such product and any content in relation to such product from the Marketplace.
      2. All product sales on the Marketplace are final unless otherwise provided on the Marketplace.
      3. Once a User has initiated a product order, the order will be forwarded to the Brand(s) of such product(s) for approval. A Brand or RedCloud may accept or reject an order in its sole discretion. Upon acceptance of an order, the Retailer will be notified of such acceptance by email. A Brand is required to accept or reject an order within five (5) days of receiving the order. If the Brand does not accept the order within 5 days of receipt, the order is deemed rejected. RedCloud reserves the right to suspend or block the account of a Brand who repeatedly rejects or fails to accept orders. Orders will be subject to the shipment and delivery conditions provided on the Marketplace.
      4. If a Retailer receives a damaged or defective product, the Retailer may make a claim for return or refund of such product in accordance with the Brand’s return or refund policy provided in the Marketplace. The decision to accept a return or refund of such product is at the sole discretion of the Brand. Except as otherwise provided herein, RedCloud is not responsible for any fees or costs associated with any return or refund of a product.
      5. Upon initiation of an order, the Retailer’s information will be shared with the Brand to enable fulfilment of such order.
      6. The Retailer will pay the price and applicable shipping and delivery costs of product orders. Upon receipt of payment, the Brand will issue a corresponding receipt to the Retailer.
      7. The form of payment for products purchased on the Marketplace may be any means enabled by the Marketplace and accepted by the Brand.
      8. Orders may be subject to additional conditions provided by Brands from time to time. RedCloud will not be liable for any aspect of an order except as otherwise provided in these Terms or the Marketplace.
      9. Payments on the Marketplace may be processed by a third-party provider selected by RedCloud to provide such services at RedCloud’s sole discretion. Where payments are processed by a third party, User information required to effect the payment will be provided to such third party. Further, the third party may have additional terms, conditions or fees (e.g., currency conversion fees or other card usage fees) to which Users are required to comply in order to process, make or receive payments on the Platform. By using the Platform, you consent to (i) RedCloud’s use of a third party to process your payments and/or accept payments on the Platform (including the sharing of your information with the third party to process such payment); (ii) comply with any additional terms and conditions of the third-party payment provider; and (iii) any additional payment terms and conditions provided in the Marketplace.
      10. Orders may be rejected and/or suspended in certain cases even after acceptance by the Brand, including (i) when the product ordered is not available; (ii) when RedCloud or the payment service provider does not authorize or accept payment for any reason whatsoever; (iii) when the Retailer or Brand does not adhere to these Terms; or (iv) any other reason determined by RedCloud in its sole discretion. In addition, in the event of a force majeure event or other limited circumstances, RedCloud and/or Brands reserve the right to cancel an order and/or apply exceptional terms and conditions. The Marketplace will provide the Retailer notice of cancellation and/or the application of exceptional terms and conditions as soon as possible after an order is placed. Brands will be independently and entirely responsible for the refund, cancellation and post-sale support of any products sold on the Marketplace unless otherwise provided herein.
    3. Shipments
      1. The shipment and delivery of products sold on the Marketplace (the “Shipping Services”) will be provided by a third-party provider as available on the Marketplace. By completing an order on the Marketplace, you consent to your details being provided to a Shipping Services provider to the extent necessary to complete shipment and delivery of the products. Further, you agree to comply with any additional terms and conditions provided by the Shipping Services provider.
      2. Where the total retail price of all products purchased in a single accepted order, excluding any applicable taxes or fees (“Total Order”), equals $300 or more, RedCloud will pay for the costs of Shipping Services applicable to such Total Order. Where a Total Order equals less than $300, the Retailer will be responsible for the costs of the Shipping Services applicable to such Total Order. Total Orders will not be accepted unless they equal $100 or more.
      3. Where an order is not delivered to the Retailer or arrives damaged due to the fault of the Shipping Services provider, RedCloud will refund the portion of the order that is missing or damaged. In order to receive such a refund, you must provide us with evidence of the original order, payment for the damaged or missing products, damage or the failure to deliver and any other evidence we may require within forty-eight (48) hours of the date on which You received the damaged products and/or from the intended delivery date of the products. In all circumstances, whether the Shipping Services are paid for and provided by RedCloud or otherwise, Brands are responsible for providing the appropriate packaging for products and compliance with any terms or conditions of the Shipping Services provider.
    4. RedCloud may charge Brands a commission-based fee for each order on the Platform, calculated based on the gross cost of the order and the terms of any separate agreement entered into between a Brand and RedCloud (the “Fee”). In addition to the Fee, Brands may be charged any other applicable state taxes. The Fee does not include any third-party payment processing fees such as Visa, Amex, etc.
  8. Taxes
    1. Users are solely responsible for remitting the correct tax to the appropriate taxing authority. Unless otherwise stated, the Fee does not include any value added tax or any other applicable taxes. Users agree to pay all applicable taxes to the relevant authorities. As required by a tax authority, RedCloud may make a withholding to cover such taxes and pay such taxes to the appropriate tax authority.
    2. Retailers are required to upload their reseller tax exemption certificate to the Platform when creating and Account.
  9. Intellectual Property
    1. By using the Platform, you grant RedCloud a perpetual, irrevocable, worldwide, sublicensable, assignable, transferable, royalty-free license to use name, logos, trademarks, service marks and any other non-personal information or information you publish to Platform or otherwise provide to RedCloud to market/promote the availability of your products on the Marketplace, make your Products available for purchase on the Marketplace and promote RedCloud’s services generally by any means and on any medium.
    2. By creating an Account, RedCloud grants to you a limited, revocable, royalty-free license (without the right to sublicense, transfer or assign such license) to use RedCloud’s name, logos, trademarks and service marks to promote the availability of your products on the Marketplace.
    3. All title and intellectual property rights in and to the Platform and any content published on the Platform (including the Marketplace), RedCloud’s data, technology, name, logos, trademarks, service marks and any materials provided or made accessible to you by RedCloud (collectively, “RedCloud IP”), as between you and RedCloud, is owned exclusively by, or licensed to, RedCloud. Except as expressly set forth in these Terms, no ownership, license or other rights in or to RedCloud IP is granted to you, and all such licenses and rights are hereby expressly reserved for RedCloud, and your rights and licenses with respect to RedCloud IP will terminate concurrently with termination of your Account.
    4. RedCloud does not own, control or have any responsibility or liability for any third-party software applications a User might choose to use on the Platform and/or in connection with the Services.
  10. Disclaimer of Warranties; Limitation of Liability
    1. THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. To the extent permitted by Applicable Laws, we exclude all express or implied warranties including warranties of merchantability, fitness for a particular purpose and non-infringement.
    2. TO THE EXTENT PERMITTED BY APPLICABLE LAWS, (I) IN NO EVENT WILL REDCLOUD BE LIABLE TO YOU FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOSS OF GOODWILL OR PROFITS, OR OTHER INTANGIBLE LOSSES) (“INDIRECT DAMAGES”); AND (II) REDCLOUD’S LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR UNDER ANY OTHER THEORY OF LIABILITY, WILL NOT EXCEED, IN THE AGGREGATE, 100% OF THE FEES PAID IN CONNECTION WITH THE ORDER THAT GAVE RISE TO THE DISPUTE.
    3. To the extent that the foregoing disclaimers and limitations of liability in this Section 10 are not permitted by Applicable Laws, they will not apply to you.
  11. Indemnification
    1. You will indemnify and hold harmless RedCloud and its affiliates, and the members, shareholders, partners, managers, officers, directors, employees, attorneys, insurers, agents and representatives of each of the foregoing and their successors and assigns (collectively, the “Related Parties”) from and against any third-party claims, damage, liabilities, losses, costs and expenses, including outside attorneys’ fees and costs, (collectively, “Claims”) arising out of, or in connection with, (i) your breach or alleged breach of these Terms; (ii) your violation of Applicable Laws; (ii) the condition of your products or (iii) your acts or omissions.
    2. RedCloud will indemnify you and hold you harmless from and against any Claims arising out of, or in connection with, a breach of these Terms by RedCloud.
    3. If RedCloud is served with a demand or subpoena in connection with a Claim between you and a third party, RedCloud will reasonably cooperate with such demand or subpoena and assist with the investigation, prosecution and/or defense of any such Claim as reasonably requested by you, in each case, at your sole cost and expense (including for time incurred to comply and/or assist and costs).
  12. Confidentiality
    1. As used herein, “Confidential Information” means all confidential and proprietary information of RedCloud or its Related Parties disclosed to you, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including the terms and conditions of any other agreement you enter into with RedCloud, technology and technical information, business and marketing plans, business processes, trade secrets and client, supplier, corporate and financial information. You may not disclose Confidential Information to a third party or use Confidential Information without RedCloud’s prior written consent unless disclosure to a third party is required by law, provided, however, that prior to disclosing any Confidential Information, you will notify RedCloud, and will cooperate with RedCloud to lawfully limit such disclosure and/or obtain protective appropriate protective orders with respect to such portions of such Confidential Information as is the subject of any such required disclosure. You agree to protect the confidentiality of the Confidential Information in the same manner that you protect the confidentiality of your own proprietary and confidential information, but in no event less than reasonable care in protecting such Confidential Information. Confidential Information will be returned to RedCloud (if not maintained electronically) or destroyed (if maintained electronically) upon RedCloud’s written request.
    2. You are prohibited from obtaining Confidential Information by means of Reverse Engineering. “Reverse Engineering” means any actions, including observing, testing, examining and reassembling, with the aim of obtaining Confidential Information.
    3. Your confidentiality obligations under these Terms will survive until the Confidential Information is no longer considered confidential, and Confidential Information that constitutes a trade secret will remain subject to the confidential obligations herein for so long as it constitutes a trade secret under applicable trade secret law.
  13. Termination
    1. RedCloud or you may, at any time, terminate these Terms upon prior written notice to the other party. Such termination will result in the disablement of your Account and access to the Platform, provided that (i) such termination will not suspend or waive your obligations with respect to orders made or accepted by you prior to such termination; and (ii) RedCloud may maintain your Account after such notice of termination is delivered for to ensure fulfillment of any such obligations or any other reason reasonably determined by RedCloud in its sole discretion.
    2. User will pay any amount it remains liable for following termination of these Terms within thirty (30) days of the date of an invoice delivered after such termination. Any amount not paid within such 30-day period will accrue interest monthly on the amount due at the rate of 1.5% or the maximum interest rate permitted by Applicable Laws, whichever is greater.
    3. If a User is inactive on the Platform for more than 12 months, RedCloud may terminate such User’s account without any prior notice.
  14. Dispute Resolution
    1. These Terms will be interpreted and construed in accordance with the laws of the State of Delaware without regard to conflict of law principles that would require the application of the laws of another jurisdiction.
    2. Agreement to Arbitrate: Any claim or dispute between you and RedCloud relating to these Terms (other than one in which injunctive relief is sought or this Agreement to Arbitrate is found by a court not to apply) will be settled by arbitration to be held in New York City, New York and administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The number of arbitrators shall be one. The language to be used in the arbitral proceedings shall be English. TO THE FULLEST EXTENT POSSIBLE, EACH PARTY WAIVES IN FULL THE RIGHT TO A TRIAL BY JURY IN REGARD TO ANY DISPUTES, CLAIMS, CAUSES OF ACTION, OBLIGATIONS, DAMAGES, COMPLAINTS, LITIGATION OR ANY MATTER WHATSOEVER AND OF ANY TYPE OR NATURE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, THAT THE PARTY MAY HAVE NOW OR IN THE FUTURE RELATING TO THIS AGREEMENT. However, nothing herein will in any way limit either party’s statutory rights and/or remedies, all of which are reserved and may be alleged in the arbitration process. The substantially prevailing party in any claim or dispute will be entitled to recover all costs, including its reasonable outside attorneys’ fees and costs, incurred in connection with such claim or dispute. Except as expressly provided herein, the remedies of the parties hereunder are non-exclusive and are in addition to any other rights and remedies provided by law.
    3. IF YOU ARE A NEW USER OF THE PLATFORM, YOU CAN CHOOSE TO REJECT THE AGREEMENT TO ARBITRATE (“OPT-OUT”) BY MAILING US A WRITTEN OPT-OUT NOTICE (“OPT-OUT NOTICE”). THE OPT-OUT NOTICE MUST BE POSTMARKED NO LATER THAN THIRTY (30) DAYS AFTER YOU ACCESS THE PLATFORM FOR THE FIRST TIME. YOU MUST MAIL THE OPT-OUT NOTICE TO 1209 ORANGE ST. WILMINGTON, NEW CASTLE, 19801, DELAWARE.
    4. If you opt-out of the Agreement to Arbitrate, or if the Agreement to Arbitrate is found not to apply to your claim or dispute, you agree that any claim or dispute between you and RedCloud will be resolved exclusively by a state or federal court located in Wilmington, Delaware. You and RedCloud agree to submit exclusively to the personal jurisdiction of the courts located in Wilmington, Delaware for purposes of litigating all such claims or disputes other than claims or disputes arising under the Agreement to Arbitrate.
    5. You acknowledge that your breach of your obligations with respect to RedCloud IP or Confidential Information will cause RedCloud and/or its Related Parties substantial and irreparable harm, the amount of which may be difficult to measure, and therefore, in the event of any such breach or anticipated breach, in addition to such other remedies that may be available, RedCloud will have the right to injunctive relief, without posting bond or other security therefor or demonstrating irreparable harm. You agree that there is no adequate remedy at law for your breach of your obligations with respect to RedCloud IP or Confidential Information and hereby waive as a defense to injunctive relief that there is an adequate remedy at law.
  15. General Provisions
    1. All notices to RedCloud required under these Terms will be made by e-mail to contract-notices@redcloudtechnology.com and must include an accurate description of the purpose of such notice as reasonably determined by RedCloud in its sole discretion.
    2. You agree that you are the owner of the mobile device, phone numbers and email addresses (and any other relevant device or account) you have registered to your Account, and you agree that you will inform us immediately by emailing us at us-support@red101.com if you change your phone number or email address that is registered to your Account.
    3. RedCloud reserves the right to modify, amend or update the Terms at any time in its sole discretion. Modifications will be posted on the Platform and will become effective on the day immediately following the day of posting. RedCloud will communicate such modifications to Users through the publication of an amended version of the Terms on the Platform. Any User who does not agree with the modifications made may immediately request the cancellation of the Account and must refrain from using the Platform. In the event that any User continues to use the Platform, such User will be deemed to have accepted the modified, amended or updated Terms.
    4. In the event that any provision of these Terms is declared void or unenforceable by any court of competent jurisdiction, such declaration will have no effect on the remaining provisions of these Terms. Such void or unenforceable provision will be replaced with a valid and enforceable provision that comes as close as possible to the desired economic effect of such void or unenforceable.
    5. These Terms, RedCloud’s Privacy Policy, any other agreements you enter into with RedCloud and any other RedCloud policies to which you are bound (by use of the Platform or otherwise) represent the entire agreement between you and RedCloud with respect to your use of the Platform and any other services provided by RedCloud, and supersede any prior, parallel, oral or written proposals or representations between you and RedCloud. To the extent that any other agreements you enter into with RedCloud and/or any other RedCloud policies to which you are bound conflict with these Terms, these Terms will apply and supersede unless expressly agreed upon by RedCloud in writing.
    6. All provisions that by their nature will remain in effect following termination of these Terms, will do so following termination of these Terms. The waiver of any specific provision by RedCloud, or the failure to act or take action against you in the event of your breach of these Terms, will not be deemed as a waiver of such breach, or a consent, acquiescence or waiver of any later breach or provision, whether of the same or a different character.
    7. As used in these Terms, the words “include” and “including,” and variations thereof will not be deemed to be terms of limitation, but instead will be deemed to be followed by the words “without limitation.” Whenever the singular number is used in these Terms and when required by the context, the same will include the plural and vice versa.
    8. You may not assign, transfer, delegate or dispose of the rights or obligations under these Terms, in whole or in part, without RedCloud’s prior written consent. RedCloud may freely assign, transfer, delegate or dispose of its rights or obligations under these Terms without your prior written consent.
    9. These Terms will bind and inure to the benefit of the Parties and their permitted successors and permitted assigns. Nothing expressed or referred to in these Terms will be construed to give any person or entity other than the Parties and, to the extent set forth herein, their respective permitted successors and permitted assigns) any legal or equitable right, remedy, or claim under or concerning these Terms or any provision hereof.
    10. Brands are third parties unrelated and independent from RedCloud. They are not affiliated with RedCloud. They sell or resell the Products in their own name and bear the entire entrepreneurial risk of their activity on the Marketplace and the risk of insolvency of the Retailers of any of their products. RedCloud makes no representation or warranty as to the operation and performance of the Brand, as to the performance of any obligations assumed by the Retailers to third parties (including Brands) or as to any obligations assumed by such third parties to Retailers in connection with any sale or purchase of products made on the Marketplace and/or any payments made thereon.
    11. User’s acceptance of these Terms and any use of the Platform by a User does not create, and will not be construed to create, any partnership, joint venture, employment, agency, distributorship, franchise or agency relationship between the User and RedCloud.
    12. RedCloud is committed to respecting the human rights of people and their employees, avoiding discrimination, harassment, abuse or intimidation in any of its forms, in relation to: age, language or origin; nationality or race; marital status, gender, pregnancy; diseases; ideas, opinions or free expression; political or sexual preferences; religion, decent working conditions; social or economic condition; special physical capabilities and any other circumstance that violates the diversity, freedom or dignity of people. In the event that a User becomes aware that the aforementioned principles are not being met by RedCloud or its Users, it may notify RedCloud with recommendations.
    13. If you are a California resident, in accordance with Cal. Civ. Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 400 R Street, Sacramento, CA 95814, or by telephone at (800) 952-5210.
  16. Copyright Complaints
    1. We respond to notices of alleged copyright infringement under the United States Digital Millennium Copyright Act. If you believe that anything on the Platform infringes upon any copyright which you own or control you may file a notification of such infringement with our Designated Agent as set forth below.

You should note that if you knowingly misrepresent in your notification that the material or activity is infringing, you may be liable for any damages including, but not limited to, costs and attorneys’ fees, incurred by us or the alleged infringer as the result of our relying upon such misrepresentation in removing or disabling access to the material or activity claimed to be infringing.
